WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bound by a duty of Confidentiality with respect to their sources and contacts.
鑒于簽約人(ren)希望簽署該份協議以規范雙方(fang)以后應遵(zun)行的(de)法律義(yi)務(wu)，并就對方(fang)之業務(wu)及連(lian)絡(luo)人(ren)善盡保密之職責。
WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations (hereinafter referred to as “Affiliates”).
鑒于簽(qian)約人(ren)為(wei)(wei)達成彼此之(zhi)共同(tong)之(zhi)利(li)益建立商業(ye)關(guan)(guan)系，其(qi)受(shou)惠之(zhi)方包含其(qi)關(guan)(guan)系企業(ye)、子公司、股東、事(shi)業(ye)伙(huo)伴、國際(ji)合作經(jing)營(ying)企業(ye)、貿易伙(huo)伴及其(qi)它相關(guan)(guan)企業(ye)等。（以下稱為(wei)(wei)「關(guan)(guan)系企業(ye)」）
NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:
基于本(ben)約之合(he)意(yi)、聲(sheng)明(ming)、約定及其它約因，雙方(fang)當事人(ren)茲(zi)就下列各事項(xiang)達成協議：
1. TERMS AND CONDITIONS
A. The parties will not in any manner solicit, nor accept any business in any manner from sources or their affiliates, which sources were made available through this agreement, without the express permission of the party who made available the source and,
A.在未經雙(shuang)方(fang)明示許(xu)可(ke)下，立約雙(shuang)方(fang)及其(qi)關系企業皆不得(de)以任何方(fang)式(shi)要(yao)求或接受任何其(qi)它第(di)三方(fang)所提供之信(xin)息，
B. The parties will maintain complete confidentiality regarding each other business sources and/or their Affiliates and will disclose such business sources only to the named parties pursuant to the express written permission of this party who made available the source, and,
B.立(li)約各方(fang)對(dui)另一方(fang)之(zhi)(zhi)業務和/或(huo)其關系企業之(zhi)(zhi)信(xin)息，應遵守絕(jue)對(dui)保密(mi)之(zhi)(zhi)原則，僅(jin)在對(dui)方(fang)正式書(shu)面許可(ke)(ke)下(xia)方(fang)可(ke)(ke)透(tou)露(lu)合作方(fang)之(zhi)(zhi)相關信(xin)息。
C. That they will not in any of the transactions the parties are desirous of entering into and do, to the best of their abilities assure the other that the transaction codes established will not be affected.
C.在任何情況下(xia)，雙方保證盡力保護其(qi)交易數(shu)據之完整(zheng)性，并(bing)盡可能不更動其(qi)原始(shi)交易代碼。
D. That they will not disclose company names, addresses, e-mail address, website, telephone and tele-fax or telex numbers to any contacts by either party to third parties and that they each recognize such contracts as the exclusive property of the respective parties and they will not enter into any direct negotiations or transactions with such contracts revealed by the other party and
D各方(fang)不(bu)得(de)向任何第三方(fang)透(tou)露他方(fang)連(lian)絡人之公司名稱、地(di)址(zhi)、電(dian)(dian)子信(xin)箱、網址(zhi)、電(dian)(dian)話、電(dian)(dian)報傳(chuan)真或電(dian)(dian)傳(chuan)號碼(ma)，且(qie)立約各方(fang)需(xu)將此連(lian)絡人視為其專(zhuan)屬財產，亦不(bu)得(de)直接與對方(fang)提供之連(lian)絡人進行議價或交易。
E. That they further undertake not to enter into business transaction with banks, investors, sources of funds or other bodies, the names of which have been provided by one of the Parties to this agreement, unless written permission has been obtained from the other party (ies) to do so.
E.在未經(jing)對方書(shu)面許可之下，不得與其(qi)(qi)它銀行(xing)、投資者、基(ji)金會、或其(qi)(qi)它在協(xie)議中所(suo)提及之合作廠商進行(xing)商業活動。基(ji)于此份(fen)協(xie)議，其(qi)(qi)限(xian)制(zhi)范圍不局限(xian)于自然人(ren)或法(fa)人(ren)，
F. The parties also undertake not to make use of a third party to circumvent this clause.
F.且立(li)約各方承諾不得利用(yong)第三方來規避此條款。
G. That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should realize from such a transaction plus any and all expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue.
G.任一方以直接或(huo)間(jian)接方式違反此份協議(yi)者，應(ying)付懲罰性違約金(jin)(jin)，其金(jin)(jin)額(e)為交(jiao)易(yi)中所得到之最高金(jin)(jin)額(e)之賠償，加上所有費(fei)用，其中包括但不限于因而致生之法律費(fei)用與支出。
H. All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.
H. 所(suo)有雙方因協議中交易所(suo)獲得的報(bao)酬、收益(yi)、分紅、參(can)與(yu)費用或傭金都(dou)將依(yi)照彼此最初
同意之(zhi)比例分紅。
I. This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in All Commonwealth Country’s, European Union Country’s, Asian Countries, USA Courts,
I.本協議將規范立約雙(shuang)方(fang)之所(suo)有交易(yi)活動，并以英聯邦國(guo)家(jia),歐盟(meng)國(guo)家(jia),亞(ya)洲國(guo)家(jia),美(mei)國(guo)法院或瑞士(shi)蘇黎世(shi)之法律為準據(ju)法，若有爭議，將依照該國(guo)仲裁法律解決。
J.The signing parties hereby accept such selected jurisdiction as the exclusive venue.
J.立(li)約之雙方皆同意以上述(shu)法院(yuan)為專屬管轄法院(yuan)，協議有效期間自(zi)簽(qian)定日期起五年(nian)。
2. AGREEMENT TO TERMS（協議條款）
A. Signatures on this Agreement received by the way of Facsimile, Mail and/or E-mail shall be an executed contract.
A.任(ren)何經(jing)由(you)傳真、郵寄(ji)及電子信件送達之(zhi)協議經(jing)簽署(shu)后皆可視為一可履(lv)行之(zhi)契約。此(ci)協議在法律上具有(you)強制性及可接受性，且所有(you)行為皆需(xu)受到協議上條款之(zhi)規范(fan)。
B. All signatories hereto acknowledge that they have read the foregoing Agreement and by their initials and signature that they have full and complete authority to execute the document for and in the name of the party for which they have given their signature.
.本文件之簽署人已詳細閱讀上(shang)述之協(xie)議，并(bing)獲得充分授權后，代(dai)表雙方當事(shi)人締(di)結(jie)之,特此為證(zheng)。
