CONTRACT OF WHITE RICE TRADE
賣方：中國某公司
買方：英國某公司
雙方(fang)(fang)同(tong)意按照下列(lie)條款由賣方(fang)(fang)出(chu)售，買方(fang)(fang)購(gou)進(jin)以下貨物：
The sellers agree to sell and the buyers agree to buy the under mentioned goods on the terms and conditions stated below:
1、
白米，長形，碎粒最(zui)高25%， 雜質最(zui)高0.25%，水份最(zui)高13%，50公(gong)斤/ 每袋(dai)，麻袋(dai)包裝(zhuang)。
white rice, long shaped broken grains (max.) 25% admixture (max.) 0.25% and moisture (max.) 13%. packed in gunny bags of 50 kilos each.

2、數量 quantity：
3、單價 unit price
每公噸200美元CIF紐約
4、總值(zhi)：200 000美元(yuan) Total Amount: Two hundred thousand US Dollars only
5、裝運期限：3 月份裝運
6、裝運口岸： 中國上海港
7、目的口(kou)岸： 英國倫敦港 Port of destination: London port, Britain
8、保險：
由賣方按(an)發票金額(e)的110% 投保水漬(zi)險(xian)，加保短(duan)量險(xian)，按(an)1981年1月1日中國人民保險(xian)公(gong)司海(hai)洋運(yun)輸貨物保險(xian)條款為準。
Insurance to be covered by the sellers for 110% of the invoice value against W.P.A including shortage in weight as per and subject to the Ocean Marin Clauses of the People’s Insurance Company of China dated Jan. 1, 1981.
Term of payment: by confirmed, irrevocable Letter of Credit in favor of the sellers payable at sight against presentation of shipping documents in China, with partial shipments and transshipment allowed. The covering Letter of Credit must reach the sellers 15 days before the contracted month of shipment and remain valid in the above loading port until the 15th day after shipment, failing which the sellers reserve the right to cancel the contract without further notice and to clain against the buyers for any loss resulting there form.
10、單(dan)據(ju)： 賣方應(ying)向議付銀(yin)行提供已裝(zhuang)船清潔提單(dan)、發票、中國商品檢驗局(ju)出具的品質證明和數量/ 重(zhong)量鑒(jian)定書，以及(ji)可轉讓(rang)的保險單(dan)。
Documents: the sellers shall present to the negotiating bank, clean and on board bill of loading, invoice, quality certificate and survey report on quantity/weight issued by the China Commodity Inspection Bureau, and transferable insurance policy.
11、裝運條件： Terms of shipment
The carrying vessel shall be provided by the sellers. Partial shipment and transshipment are allowed.
After loading is completed, the seller shall notify the buyers by cable of the contracted number, name of commodity, name of the carrying vessel and date of shipment.
12、品質、數量、質量的異(yi)議與索賠：Quality/ quantity discrepancy and claim:
貨(huo)到目(mu)的(de)口岸后(hou)，買方(fang)如發現貨(huo)物品(pin)質或數量或重量與合同(tong)規定(ding)不(bu)符(fu)，除屬保險公司或船公司的(de)責任外，買方(fang)可憑雙(shuang)方(fang)同(tong)意的(de)檢驗機構出(chu)具的(de)檢驗證書向賣方(fang)提(ti)出(chu)異(yi)(yi)議。品(pin)質異(yi)(yi)議須于(yu)(yu)貨(huo)到目(mu)的(de)地口岸30日(ri)(ri)內(nei)提(ti)出(chu)，數量、重量異(yi)(yi)議須于(yu)(yu)貨(huo)到目(mu)的(de)地口岸15日(ri)(ri)內(nei)提(ti)出(chu)。賣方(fang)應于(yu)(yu)收到異(yi)(yi)議后(hou)30日(ri)(ri)內(nei)答(da)復買方(fang)。
In case the quality and/or quantity/ weight are found by the buyers to be nbot in conformity with the contract after the arrival of the goods at the port of destination, the buyers may lodge claim with the sellers supported by both parties, with the exception, however, of those claims for which the insurance company and /or the shipping company are to be held responsible. Claim for quality discrepancy should be filed by the buyers within 30days after the arrival of the goods at the port of destination, while for quantity/weight discrepancy claim should be filed by the buyers within 15 days after the arrival of the goods at the port of destination. The sellers shall, within 30days after receipt of the notification of the claim, send reply to the buyers.
13、不可抗力 Force Majeure
由于人力(li)不(bu)可抗(kang)拒之事故，使賣方(fang)不(bu)能(neng)在(zai)(zai)本合同規定期限內交(jiao)貨或不(bu)能(neng)交(jiao)貨，賣方(fang)不(bu)負責(ze)任。但賣方(fang)須盡快以電(dian)報(bao)通知買方(fang)，并在(zai)(zai)事故發生后15天(tian)內以掛號(hao)信向買方(fang)提(ti)供由中國(guo)國(guo)際貿易促(cu)進委員會或有關機(ji)構出具的事故證明。
In case of Force Majeure, the sellers shall not be held responsible for late delivery or non-delivery of the goods but shall notify the buyers by cable as soon as possible and give the buyers a certificate by the China Council for the Promotion fo International Trade or other competent authorities by registered mail issued.
14、仲裁 Arbitration
Any disputes arising form the execution of or in connection with the contract shall be settled through mutual consultations between the parties thereto. In case no settlement can be reached through consultations, the disputes in question shall be submitted for arbitration. The arbitration shall take place in shanghai, China, and shall, in accordance with its rules of procedure, be conducted by the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade. The arbitration award shall be final and binding on the parties thereto. The cost of arbitration shall be borne by the losing party.
