   合(he)同(tong)(tong)中的陳述和保證一般包括(kuo)兩方(fang)面內容(rong)：其一是對(dui)公(gong)(gong)司是否(fou)有權簽(qian)署本協議所做的陳述和保證，包括(kuo)公(gong)(gong)司組(zu)建設立情(qing)況、公(gong)(gong)司是否(fou)對(dui)簽(qian)約人授權簽(qian)署本合(he)同(tong)(tong)等(deng)；其二是依據合(he)同(tong)(tong)性質(zhi)和合(he)同(tong)(tong)標的需要合(he)同(tong)(tong)另一方(fang)作(zuo)(zuo)出特別保證的內容(rong)，比如，公(gong)(gong)司是否(fou)存在正在進行的訴訟等(deng)。通過(guo)這個條款對(dui)這些信息作(zuo)(zuo)出保證，保證其在本協議下真(zhen)實有效。如果一方(fang)違反這個保證，另一方(fang)可(ke)以(yi)采取包括(kuo)終止合(he)同(tong)(tong)在內的救濟措施，從而(er)最大限度地保護自己。

 

一、              公司是否有權簽(qian)署本協(xie)議所做的陳述(shu)和保(bao)證(zheng)

本(ben)公(gong)司為依中華(hua)人民(min)共和國法律合法組(zu)織存(cun)在、享有(you)良好商譽之(zhi)法律主(zhu)體；

it is a duly organized legal entity, validly existing and in good standing under the laws of the People's Republic of China;

 

本(ben)公(gong)司(si)訂立本(ben)合約及履(lv)行因(yin)本(ben)合約所致(zhi)生之義(yi)務(wu)，不違反訂約時(shi)之任何中國法(fa)令(ling)，或違反其(qi)它任何本(ben)公(gong)司(si)為當事人的合約。

 its entry into and performance of its obligations under this Agreement do not violate any legal requirements in the People’s Republic of China as of the date hereof or any material agreements to which it is a party.

Party A is a limited liability company duly incorporated and validly existing under the laws of its place of incorporation, and has all corporate power and authority to executed this agreement, exercise the rights and perform the obligations hereunder in accordance with the provisions of this agreement.

it has corporate power and has taken all necessary corporate and other action to enter into and complete this AGREEMENT.

  PARTY B represents and warrants that it has full power and authority to enter into, perform and comply with its obligations under this AGREEMENT; this AGREEMENT has been duly executed and delivered by PARTY B and, subject to the approval by the governmental authorities (if required) constitutes legal, valid, binding and enforceable obligations of PARTY A in accordance with its terms.

 its Board of Directors has taken all necessary action to duly authorize the execution, delivery and performance of this Agreement which actions are reflected in the minutes book of the corporation; and

 

例 文件的(de)簽(qian)署、遞交和(he)履(lv)行(xing)(xing)已經通(tong)過一切必(bi)要的(de)行(xing)(xing)為獲得(de)正式授權(quan)。

Its execution, delivery and performance of the DOCUMENTS have been duly authorized by all necessary action.

 

例  甲方已經(jing)得到履行本(ben)協議(yi)所(suo)必需的同(tong)意、批準(zhun)和授權，所(suo)有(you)合同(tong)文件均已提交，本(ben)協議(yi)在審(shen)批部(bu)門批準(zhun)后生效(xiao)。

PARTY A has obtained all consents, approvals and authorizations necessary for the valid execution and delivery of this AGREEMENT and all of the contracts referred to herein to which it is a party; provided, however, that this AGREEMENT shall be subject to the approval of the Examination and Approval Authority before the same may become effective.

 

例 受讓(rang)人簽署、交付、履(lv)(lv)行(xing)本協議行(xing)為(wei)和本協議規定的轉(zhuan)讓(rang)以(yi)及(ji)受讓(rang)人履(lv)(lv)行(xing)完畢(bi)的行(xing)為(wei)在受讓(rang)人的公司授權范圍之內。

The execution, delivery and performance by the Transferee of this Agreement and the completion by the Transferee of the transfer contemplated hereunder are within the transferee’s corporate power and authority.

The contractor represents and warrants that the contractor is empowered legally and this contract has been duly authorized, executed, and delivered by the contractor, and constitutes a legal, valid, and binding obligation of the contractor, enforceable in accordance with its terms.

 

三、對(dui)是否有權力履行合同義務或承擔合同責任的陳述與保證

 

例(li)：甲(jia)(jia)(jia)方(fang)(fang)(fang)謹在(zai)此聲(sheng)明(ming)(ming)及(ji)(ji)保證甲(jia)(jia)(jia)方(fang)(fang)(fang)為出(chu)(chu)租(zu)房屋(wu)的(de)合法擁有(you)人并有(you)合法地(di)位(wei)出(chu)(chu)租(zu)此房屋(wu)予(yu)乙(yi)方(fang)(fang)(fang)。就本合同(tong)(tong)及(ji)(ji)出(chu)(chu)租(zu)此房屋(wu)予(yu)以乙(yi)方(fang)(fang)(fang)之事，甲(jia)(jia)(jia)方(fang)(fang)(fang)已取得所(suo)有(you)有(you)關(guan)機構的(de)批(pi)準，包括政(zheng)府批(pi)準及(ji)(ji)抵押權(quan)人的(de)同(tong)(tong)意。甲(jia)(jia)(jia)方(fang)(fang)(fang)于本合同(tong)(tong)所(suo)做出(chu)(chu)的(de)聲(sheng)明(ming)(ming)及(ji)(ji)保證，如(ru)有(you)錯誤或(huo)違反者，甲(jia)(jia)(jia)方(fang)(fang)(fang)須就因此而引起的(de)任何損失、損害、支出(chu)(chu)及(ji)(ji)費用做出(chu)(chu)全部補償(chang)。

Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent ( if applicable) Party A shall be liable to Keep Party B be fully indemnified against any costs, expenses, losses and damages incurred to suffered by Party B as a result of any breach of Party A’s representations or warranties herein ( including but not limited to legal costs)

例  發包商再次保證：  ;The SUBCONTRACTOR hereby represents and warrants:

發包商(shang)是根據(ju)中(zhong)國法(fa)律依(yi)法(fa)成立，合法(fa)經營和良好續存(cun)的公司(si)，在中(zhong)華(hua)人民共(gong)和國工(gong)商(shang)管理機關注冊。

  1) The SUBCONTRACTOR is a company duly organized, validly existing and in good standing under the laws of the People’s Republic of China, being registered at the State Administration for Industry and Commerce of the People’s Republic of China.

 

本分(fen)包合同(tong)的簽(qian)訂與履行(xing)是在本公司的經(jing)營能力和范(fan)圍內，不(bu)違反(fan)任(ren)何法律、法規和簽(qian)約的其他協議。

  2) The conclusion and performance of this SUBCONTRACT are within the corporate powers and authority of the SUBCONTRACTOR and do not contravene any laws, regulations or any agreements to which the SUBCONTRACTOR is a party.

 

不存在(zai)任何(he)對發包(bao)商的(de)經營、財產、資格、財務和(he)其他狀況產生(sheng)負(fu)面(mian)影響并進而將影響到分包(bao)商履行本協議(yi)義(yi)務的(de)能力的(de)任何(he)未決案件、訴訟(song)、被(bei)法院或(huo)行政機關立(li)案。

  3) There is no pending action or issue in or action by any court or administration authority which could exert a material adverse impact on the business, property, status, finance and other aspects of the SUBCONTRACTOR so as to affect the capability of the SUBCONTRACTOR to carry out its obligations under this AGREEMENT.

 this AGREEMENT has been duly executed and delivered on its behalf and constitutes its legal, valid, binding and enforceable obligation, except to the extent that enforceability may be limited by applicable bankruptcy, insolvency or other similar laws affecting the enforcement of creditor rights;

 there are no existing arrangements or agreements with third parties, the terms of which prevent the PARTIES from entering into this AGREEMENT or which would impede the performance of its obligations under the AGREEMENT.

 

五(wu)、對產(chan)品質量或(huo)者(zhe)保障的陳(chen)述(shu)與保證

例：WARRANTIES  質量保證條款

The Seller guarantee that the Equipment supplied under this Contract is made of the best quality materials with first class workmanship, brand new, up to standard in all respects and in good condition.

賣方保證提供的(de)(de)設備是全新(xin)(xin)制造的(de)(de)，用最好的(de)(de)材(cai)料及新(xin)(xin)設計，符合各方面的(de)(de)標準(zhun)并狀(zhuang)況(kuang)良好。

 

例：：讓(rang)與(yu)人(ren)(ren)將保(bao)證按(an)合同要求(qiu)向引進方(fang)(fang)提供的技術(shu)(shu)資料(liao)和(he)(he)軟(ruan)件是讓(rang)與(yu)人(ren)(ren)實際(ji)使用的和(he)(he)最新(xin)的并(bing)被證實了(le)的技術(shu)(shu)資料(liao)和(he)(he)軟(ruan)件，并(bing)保(bao)證在合同執行過程中及(ji)時(shi)向引進方(fang)(fang)免費提供改進、修改和(he)(he)開(kai)發的新(xin)的技術(shu)(shu)資料(liao)和(he)(he)軟(ruan)件。

The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be of the latest and well-proved Technical Documentation and Software which are actually used by the Licensor and that the improved, modified and developed Technical Documentation and Software shall be supplied in time by the Licensor to the Licensee in the course of implementation of the Contract, without charge.

 Licensor guarantees that it is the legitimate owner or holder of Know-how and in the lawful position to grant the license to Licensee.

Licensor guarantees that Know-how is well developed and industrialized, and is exploitable in accordance with Technical Documentation specified in Appendix 2. 

例： 許可方保證合同附件一規定的合格的合同產品能在工作現場采用本專有技術制造出來。 
 Licensor guarantees that qualified Contract Products as specified in Appendix 1 can be manufactured by exploiting Know-how at Job Site.

例：許可方保證所提供的技術資料是完整的、正確的、清晰的，并保證能按合同附件二的規定及時交付。
 Licensor guarantees that Technical Documentation is complete, correct, and clear, and shall be delivered in accordance with the schedule specified in Appendix 2. 

例：許可方保證按時派遣合格的技術人員提供正確和充分的技術服務和技術培訓。
 Licensor guarantees that qualified professional technical personnel shall be dispatched in duetime to provide correct and sufficient Technical Service and Technical Training. 

例：本專有技術在工作現場的保證期為驗收通過之日后的________個月，詳見合同附件五。保證期滿，被許可方的授權代表應簽署一份保證期滿證書給許可方。 
 The guarantee period for the Know-how at Job Site is____ months from the date of the acceptance, details of which are specified in Appendix 5. A guarantee expiration certificate shall be signed by the authorized representative of Licensee at its expiration and submitted to Licensor. 

例：許可方保證不會發生被許可方被指控有關合同產品上的侵權責任。
 Licensor guarantees that Licensee shall not be claimed for product liability in relation to Contract Products.
