信用證 英語(yu)為：letter of credit。縮寫(xie)為：L/C或LOC。
信(xin)用證（Letter of Credit ,L/C)是(shi)指由(you)銀行（）依照(zhao)（）的要求和指示(shi)或自己主動，在符合信(xin)用證條(tiao)款(kuan)(kuan)的條(tiao)件(jian)下，憑(ping)規定單據向第三者(zhe)（）或其指定方進行付(fu)款(kuan)(kuan)的書面文件(jian)。即(ji)信(xin)用證是(shi)一種(zhong)銀行開立(li)的有條(tiao)件(jian)的承(cheng)諾付(fu)款(kuan)(kuan)的書面文件(jian)。
在國(guo)際(ji)貿易活動，買賣(mai)雙(shuang)方(fang)(fang)可(ke)能互不(bu)信(xin)任(ren)，買方(fang)(fang)擔(dan)心后，賣(mai)方(fang)(fang)不(bu)按合同要(yao)求發貨(huo)(huo)；賣(mai)方(fang)(fang)也擔(dan)心在發貨(huo)(huo)或提交貨(huo)(huo)運單(dan)據后買方(fang)(fang)不(bu)付款。因此需要(yao)兩(liang)家做為(wei)買賣(mai)雙(shuang)方(fang)(fang)的保證(zheng)人，代為(wei)收款，以銀(yin)行信(xin)用代替商業信(xin)用。銀(yin)行在這一(yi)活動中所使用的工具就是信(xin)用證(zheng)。

作為可(ke)議付格(ge)式的(de)海運保(bao)(bao)險(xian)(xian)單或憑證按照(zhao)到岸價(jia)的(de)發票金額110%投保(bao)(bao)中國人(ren)民保(bao)(bao)險(xian)(xian)公(gong)司(si)1976年(nian)1月1日的(de)戰(zhan)爭(zheng)險(xian)(xian)和基本險(xian)(xian)，負責到吉(ji)隆坡為止。按照(zhao)匯(hui)票所(suo)使用的(de)貨幣在吉(ji)隆坡賠(pei)付（無(wu)免(mian)賠(pei)率(lv)）

any additional premium to cover uplift between 10 and 17% may be drawn in excess

十三、The Stipulation for Shipping Terms 信用證對(dui)裝運(yun)條款的要求

在裝運之前____天，買方應通過一流銀行開立一份不可撤銷的、以賣方為受益人的、金額為合同總價％的有效期至少為個月的即期信用證。%憑最終用戶簽字的設備驗收證書2周內電匯支付。
十五、The Guarantee of the Opening Bank 開(kai)證行付款保證

我行保證及時對(dui)所(suo)有根(gen)據本信用證開具、并與其條款相符的匯(hui)票兌付
2. we undertake that drafts drawn and presented in conformity with the terms of this credit will be duly honoured .
開具并交出的匯票，如與本證(zheng)的條款(kuan)相符(fu)，我行保證(zheng)依(yi)時(shi)付款(kuan)

凡根據(ju)本(ben)證(zheng)(zheng)開具與(yu)本(ben)證(zheng)(zheng)條款相符的(de)匯(hui)票，并(bing)能按時(shi)提示(shi)和(he)交(jiao)出(chu)本(ben)證(zheng)(zheng)規(gui)定的(de)單據(ju)，我行保證(zheng)(zheng)對出(chu)票人、背書人和(he)善意持(chi)有人承(cheng)擔付款責任（須在本(ben)證(zheng)(zheng)有效期內(nei)開具匯(hui)票并(bing)議付）
4. provided such drafts are drawn and presented in accordance with the terms of this credit, we hereby engage with the drawers, endorsors and bona-fide holders that the said drafts shall be duly honoured on presentation .
凡根(gen)據本證的條(tiao)款(kuan)開具并(bing)提(ti)示(shi)匯票，我們擔保(bao)對其(qi)出(chu)票人、背(bei)書人和善意持(chi)有(you)人在交單(dan)時承兌付款(kuan)

十六、Special Conditions 特別條(tiao)款
十七、In Reimbursement 索償文句
The contents of the covering Letter of Credit shall be in strict conformity with the stipulations of the Sales Contract. In case of any variation there of necessitating amendment of the L/C, the Buyers shall bear the expenses for effecting the amendment. The Sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C and reserve the right to claim from the Buyers for the losses resulting therefrom.
買方于成交后通過______中國銀行開出以賣方為抬頭的不可撤銷的信用證，賣方在貨物裝船啟運后憑本合同交貨條款 所列單據在開證銀行議付貨款。信用證有效期為裝船后 天止。
After conclusion of business the Buyer shall open with the Bank of China, _______ ，an irrevocable letter of credit in favor of the Sellers payable at the issuing Bank against presentation of the shipping documents as stipulated under Clause of the Terms of Delivery of this Contract after departure of the carrying vessel . The said letter of credit shall remain in force till the day after shipment.
相(xiang)關信用證中的條款必須與銷售確認(ren)書(shu)一致。
The stipulations in the relative L/C must strictly conform to the stated conditions in our sales confirmation.
付款：憑保兌的、不可撤銷的、可轉讓的、可分割的即期有電報套匯條款/見票/出票____天期付款信用證，信用證以_____為受益人并允許分批裝運和轉船。該信用證必須在______前開到賣方，信用證的有效期應為上述裝船期后第15天，在中國______到期，否則賣方有權取消本售貨合約，不另行通知，并保留因此而發生的一切損失的索賠權。
Terms of Payment：By confirmed, irrevocable, transferable and divisible letter of credit in favour of _____payable at sight with TT reimbursement clause/___days’/sight/date allowing partial shipment and transshipment. The covering Letter of Credit must reach the Sellers before _____and is to remain valid in _____.China until the 15th day after the aforesaid time of shipment, failing which the Sellers reserve the right to cancel this Sales Contract without further notice and to claim from the Buyers for losses resulting therefrom.
買方須于**年**月**日將保兌的，不可撤消的，可轉讓可分割的即期信用證開到賣方。信用證議付有效期延至上列裝運期后15天在中國到期，該信用證中必須注明允許分運及轉讓。
By confirmed,irrevocable,transferable and divisible L/C to be available by sight draft to reach the sellers before****and to remain valid for negotiation in China until 15 days after the aforesaid time of shipment.Tje L/C must specify that transhipment and partial shipments are allowd.
信用證內應明確規定賣方有權可多裝或少裝所注明的百分數，并按實際裝運數量議付。（信用證之金額按本售貨合約金額增加相應的百分數。）
The covering Letter of Credit shall stipulate the Sellers’s option of shipping the indicated percentage more or less than the quantity hereby contracted and be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establish the L/C in amount with the indicated percentage over the total value of the order as per this Sales Contract.)
3. 信用證內容須嚴格符合本售貨合約的規定，否則修改信用證的費用由買方負擔，賣方并不負因修改信用證而延誤裝運的責任，并保留因此而發生的一切損失的索賠權。
