貨物應(ying)具有防(fang)(fang)潮、防(fang)(fang)銹(xiu)蝕、防(fang)(fang)震并適合于遠洋(yang)運輸(shu)的(de)包(bao)裝(zhuang)，由于貨物包(bao)裝(zhuang)不(bu)良而造(zao)成的(de)貨物殘損、滅失(shi)應(ying)由賣方(fang)負(fu)責。賣方(fang)應(ying)在每個包(bao)裝(zhuang)箱上用不(bu)褪色的(de)顏色標(biao)明尺碼、包(bao)裝(zhuang)箱號碼、毛重、凈重及“此端(duan)向上”、“防(fang)(fang)潮”、“小心輕放”等標(biao)記。
The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement, gross weight, net weight and the cautions such as "Do not stack up side down", "Keep away from moisture", "Handle with care" shall be stenciled on the surface of each package with fadeless pigment.

Documents against payment: After shipment, the Seller shall draw a sight bill of exchange on the Buyer and deliver the documents through Sellers bank and ___ Bank to the Buyer against payment, i.e D/P. The Buyer shall effect the payment immediately upon the first presentation of the bill(s) of exchange.

Documents against Acceptance: After shipment, the Seller shall draw a sight bill of exchange, payable_____ days after the Buyers delivers the document through Seller’s bank and _______Bank to the Buyer against acceptance (D/A ___ days). Full set of clean on board Ocean/Combined transportation/Land Bills of Lading and blank endorsed marked freight prepaid/ to collect;

15.裝運條款（Terms of Shipment）：
(1) FOB交貨方(fang)式(shi)
賣(mai)方(fang)應在(zai)(zai)合同(tong)規(gui)定的裝(zhuang)(zhuang)(zhuang)運(yun)(yun)日(ri)期前30天，以(yi)＿＿＿＿方(fang)式通知買方(fang)合同(tong)號、品(pin)名、數量(liang)、金額、包裝(zhuang)(zhuang)(zhuang)件、毛重、尺碼(ma)及裝(zhuang)(zhuang)(zhuang)運(yun)(yun)港可裝(zhuang)(zhuang)(zhuang)日(ri)期，以(yi)便(bian)買方(fang)安排租船(chuan)(chuan)/訂艙(cang)。裝(zhuang)(zhuang)(zhuang)運(yun)(yun)船(chuan)(chuan)只按期到達裝(zhuang)(zhuang)(zhuang)運(yun)(yun)港后，如賣(mai)方(fang)不(bu)能按時(shi)裝(zhuang)(zhuang)(zhuang)船(chuan)(chuan)，發(fa)生的空船(chuan)(chuan)費或(huo)滯期費由賣(mai)方(fang)負擔。在(zai)(zai)貨物(wu)越(yue)過(guo)船(chuan)(chuan)弦并脫離吊鉤以(yi)前一切費用(yong)和風險由賣(mai)方(fang)負擔。
The Seller shall, 30 days before the shipment date specified in the Contract, advise the Buyer by ___of the Contract No., commodity, quantity, amount, packages, gross weight, measurement, and the date of shipment in order that the Buyer can charter a vessel/book shipping space. In the event of the Seller's failure to effect loading when the vessel arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for the Seller's account.
(2) CIF或(huo)CFR交(jiao)貨方式
賣方(fang)須按(an)時在裝(zhuang)運(yun)(yun)期限內將(jiang)貨物(wu)由裝(zhuang)運(yun)(yun)港裝(zhuang)船(chuan)至目的港。在CFR術語下，賣方(fang)應在裝(zhuang)船(chuan)前2天以(yi)＿＿＿＿方(fang)式通知買(mai)方(fang)合(he)同(tong)號、品名(ming)、發票價(jia)值及開船(chuan)日期，以(yi)便(bian)買(mai)方(fang)安排保險。
The Seller shall ship the goods duly within the shipping duration from the port of loading to the port of destination. Under CFR terms, the Seller shall advise the Buyer by _____ of the Contract No., commodity, invoice value and the date of dispatch two days before the shipment for the Buyer to arrange insurance in time.
16.裝運(yun)通(tong)知（Shipping Advice）：
一俟裝(zhuang)載完畢(bi)，賣方(fang)應在＿＿小時(shi)內(nei)以＿＿＿方(fang)式(shi)通知買方(fang)合同編(bian)號、品名(ming)、已發運數量、發票(piao)總金額、毛重、船(chuan)名(ming)/車/機(ji)號及啟程(cheng)日期等。
The Seller shall, immediately upon the completion of the loading of the goods, advise the Buyer of the Contract No., names of commodity, loading quantity, invoice values, gross weight, name of vessel and shipment date by _______ within ________hours.
17.質量保(bao)證(zheng)（Quality Guarantee）：
貨物品質規格必須符合(he)本合(he)同(tong)及(ji)質量保(bao)證(zheng)書之規定，品質保(bao)證(zheng)期(qi)為貨到目的港＿＿個月內(nei)。在保(bao)證(zheng)期(qi)限內(nei)，因制造(zao)廠商在設計制造(zao)過程中的缺陷(xian)造(zao)成的貨物損(sun)害應由賣方負責(ze)賠償(chang)。
The Seller shall guarantee that the commodity must be in conformity with the quatity, specifications and quantity pecified in this Contract and Letter of Quality Guarantee. The guarantee period shall be _____ months after the arrival of the goods at the port of destination, and during the period the Seller shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
18.檢驗(yan)（Inspection）（以下兩項任選一項）：
（1）賣方須在裝運前＿＿日委(wei)托(tuo)(tuo)＿＿＿檢(jian)驗(yan)機構對本合同之貨(huo)物進行檢(jian)驗(yan)并(bing)出具(ju)檢(jian)驗(yan)證(zheng)書，貨(huo)到目的港后，由買方委(wei)托(tuo)(tuo)＿＿＿檢(jian)驗(yan)機構進行檢(jian)驗(yan)。
The Seller shall have the goods inspected by ______ days before the shipment and have the Inspection Certificate issued by____. The Buyer may have the goods reinspected by _____ after the goods誥rrival at the destination.
(2)發貨前，制造廠應(ying)對(dui)貨物的(de)(de)(de)(de)質量(liang)、規(gui)(gui)(gui)格、性能(neng)和(he)(he)數量(liang)/重量(liang)作精(jing)密全面的(de)(de)(de)(de)檢(jian)(jian)驗(yan)，出具檢(jian)(jian)驗(yan)證(zheng)明書，并說明檢(jian)(jian)驗(yan)的(de)(de)(de)(de)技(ji)術數據和(he)(he)結論。貨到目的(de)(de)(de)(de)港后，買方將(jiang)申請中(zhong)國商(shang)品檢(jian)(jian)驗(yan)局(ju)(以(yi)下(xia)簡稱商(shang)檢(jian)(jian)局(ju))對(dui)貨物的(de)(de)(de)(de)規(gui)(gui)(gui)格和(he)(he)數量(liang)/重量(liang)進行(xing)檢(jian)(jian)驗(yan)，如發現貨物殘損(sun)或(huo)(huo)規(gui)(gui)(gui)格、數量(liang)與合同規(gui)(gui)(gui)定不符(fu)(fu)，除保(bao)險公司或(huo)(huo)輪船公司的(de)(de)(de)(de)責任外(wai)，買方得在(zai)貨物到達目的(de)(de)(de)(de)港后＿＿日內(nei)憑商(shang)檢(jian)(jian)局(ju)出具的(de)(de)(de)(de)檢(jian)(jian)驗(yan)證(zheng)書向賣方索賠或(huo)(huo)拒收(shou)該貨。在(zai)保(bao)證(zheng)期(qi)內(nei)，如貨物由于設計或(huo)(huo)制造上的(de)(de)(de)(de)缺陷而發生損(sun)壞或(huo)(huo)品質和(he)(he)性能(neng)與合同規(gui)(gui)(gui)定不符(fu)(fu)時(shi)，買方將(jiang)委托中(zhong)國商(shang)檢(jian)(jian)局(ju)進行(xing)檢(jian)(jian)驗(yan)。
The manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. After arrival of the goods at the port of destination, the Buyer shall apply to China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection as to the specifications and quantity/weight of the goods. If damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this Contract, except when the responsibilities lies with Insurance Company or Shipping Company, the Buyer shall, within ___ days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods according to the inspection certificate issued by CCIB. In case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey.
19.索賠(pei)（Claim）：
買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠（包括換貨），由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后______天未予答復，則認為賣方已接受買方索賠。
The buyer shall make a claim against the Seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the Seller. The claims mentioned above shall be regarded as being accepted if the Seller fail to reply within ______days after the Seller received the Buyer's claim.
20.遲交貨(huo)與罰款（Late delivery and Penalty）:
除合(he)(he)同(tong)(tong)第21條不可抗(kang)力原因外，如賣(mai)(mai)方(fang)不能(neng)按合(he)(he)同(tong)(tong)規(gui)定(ding)的時間交貨(huo)，買方(fang)應(ying)同(tong)(tong)意在賣(mai)(mai)方(fang)支付(fu)(fu)罰款(kuan)(kuan)的條件下(xia)延期交貨(huo)。罰款(kuan)(kuan)可由議付(fu)(fu)銀行在議付(fu)(fu)貨(huo)款(kuan)(kuan)時扣除，罰款(kuan)(kuan)率按每(mei)＿＿天(tian)收＿＿%，不足(zu)＿＿天(tian)時以＿＿天(tian)計算。但罰款(kuan)(kuan)不得超(chao)過(guo)遲交貨(huo)物總價(jia)的____%。如賣(mai)(mai)方(fang)延期交貨(huo)超(chao)過(guo)合(he)(he)同(tong)(tong)規(gui)定(ding)＿＿天(tian)時，買方(fang)有權撤銷(xiao)合(he)(he)同(tong)(tong)，此時，賣(mai)(mai)方(fang)仍應(ying)不遲延地按上述規(gui)定(ding)向買方(fang)支付(fu)(fu)罰款(kuan)(kuan)。
買方有(you)權對因此遭受的其它損失向(xiang)賣方提(ti)出索(suo)賠。
Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. But the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery ______ days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay. The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
21.不可抗力（Force Majeure）：
凡在(zai)制(zhi)造(zao)或裝船運(yun)輸過(guo)程(cheng)中，因不(bu)可(ke)抗(kang)力致(zhi)使賣(mai)方不(bu)能(neng)或推(tui)遲交(jiao)貨時，賣(mai)方不(bu)負責任。在(zai)發生上述(shu)情(qing)況時，賣(mai)方應(ying)立即通知買方，并在(zai)＿＿天內，給買方特快(kuai)專遞一(yi)份由當地民間商會簽(qian)發的事故(gu)(gu)證明書。在(zai)此(ci)情(qing)況下，賣(mai)方仍有(you)(you)責任采(cai)取一(yi)切必要措施加快(kuai)交(jiao)貨。如事故(gu)(gu)延(yan)續＿＿天以上，買方有(you)(you)權(quan)撤銷合同
The Seller shall not be responsible for the delay of shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit.The Seller shall advise the Buyer immediately of the occurrence mentioned above and within_____ days thereafter the Seller shall send a notice by courier to the Buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than _____ days the Buyer shall have the right to cancel the Contract.
22.爭議的解決(Arbitration):
凡因本合(he)同(tong)引(yin)起的(de)(de)或與本合(he)同(tong)有關的(de)(de)任何(he)爭議(yi)應協商(shang)解(jie)決。若(ruo)協商(shang)不成，應提交中國國際經(jing)濟貿易仲(zhong)裁(cai)(cai)(cai)委(wei)員會深圳分會，按照申請仲(zhong)裁(cai)(cai)(cai)時該會現行(xing)有效的(de)(de)仲(zhong)裁(cai)(cai)(cai)規則進行(xing)仲(zhong)裁(cai)(cai)(cai)。仲(zhong)裁(cai)(cai)(cai)裁(cai)(cai)(cai)決是終局的(de)(de)，對(dui)雙(shuang)方(fang)均有約束(shu)力。
Any dispute arising from or in connection with the Contract shall be settled through friendly negotiation. In case no settlement is reached, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC),Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
23.通知（Notices):
所有(you)通(tong)知用＿＿＿＿文(wen)寫(xie)成(cheng)，并按照如下地址用傳(chuan)真/電子(zi)郵(you)件(jian)(jian)/快件(jian)(jian)送(song)達給各方。如果(guo)地址有(you)變更，一(yi)方應(ying)在變更后＿＿日(ri)內(nei)書面通(tong)知另一(yi)方。
All notice shall be written in _____ and served to both parties by fax/courier according to the following addresses. If any changes of the addresses occur, one party shall inform the other party of the change of address within ____days after the change.
24.本合同使用的FOB、CFR、CIF術語系根據國際商(shang)會《2000年國際貿易術語解釋(shi)通(tong)則》。
The terms FOB、CFR、CIF in the Contract are based on INCOTERMS 2000 of the International Chamber of Commerce.
25.附加條(tiao)款(Additional clause)：
本合同(tong)上述(shu)條款(kuan)與本附(fu)加條款(kuan)抵觸時(shi)，以本附(fu)加條款(kuan)為準。
Conflicts between Contract clause hereabove and this additional clause, if any, it is subject to this additional clause.
26.本(ben)合同(tong)用中英文(wen)兩(liang)種(zhong)文(wen)字寫(xie)成(cheng)，兩(liang)種(zhong)文(wen)字具有同(tong)等效力。本(ben)合同(tong)共＿＿份，自雙方代表(biao)簽字（蓋章）之(zhi)日(ri)起(qi)生效。
