  合(he)同生(sheng)(sheng)效除了以(yi)具體的日(ri)期表述外(wai)，還可以(yi)約定(ding)以(yi)某個(ge)(ge)事件的發(fa)生(sheng)(sheng)或不發(fa)生(sheng)(sheng)作為其生(sheng)(sheng)效起點(dian)，相當于附條件，只有在(zai)所附條件成立(li)時合(he)同才(cai)生(sheng)(sheng)效，比(bi)如在(zai)一(yi)個(ge)(ge)中外(wai)合(he)資(zi)合(he)同中：

  The AGREEMENT shall take affect upon the approval from the Ministry of Commerce of the People’s Republic of China.

本(ben)協議(yi)自中國(guo)商(shang)務部批準(zhun)之日起生效。

四、       合同(tong)有效(xiao)期結束后(hou)未盡事(shi)項(xiang)的(de)約定

 

 由于合同終止，合同雙方的權利義務自然終止，但是否意味著合同雙方對對方不再承擔任何的責任，合同終止，合同所有條款的效力是否全部失效。  為(wei)了避免出現這樣的爭議，在草擬(ni)合同時，最(zui)好在合同中加(jia)上下面(mian)這兩個標(biao)準(zhun)條款，以專利許(xu)可協議為(wei)例：

  No termination of this AGREEMENT or the license granted hereunder shall relieve LICENSEE of any obligation or liability accrued hereunder prior to such termination.

合同終止(zhi)(zhi)前(qian)產生的義(yi)務(wu)和責任并不因此(ci)而終止(zhi)(zhi)。

 

  The obligations of the PARTIES under this Clause 5 of CONFIDENTIALITY shall survive the expiry or the termination of this AGREEMENT for whatever reason.
