Party A and Party B, through equal and amicable consultation on the affair of cargo exportation by airplane transportation, inter into and conclude this agreement on the date of as follows
一、委托事項 COMMITMENT
甲方接受(shou)乙(yi)(yi)方委托，承接乙(yi)(yi)方委托的空(kong)運出(chu)口運輸業務(wu)。乙(yi)(yi)方指定甲方作為(wei)其(qi)代(dai)(dai)理人，代(dai)(dai)為(wei)安排(pai)提貨、辦理出(chu)口報關和出(chu)口商品(pin)檢驗檢疫等事務(wu)。
Party A shall , accepting the commission of Party B, carry out the business of cargo export transportation by airliner, and act as Party B’s assigned agency for the arrangement of goods delivery, handling application to customs for the exportation, inspection / quarantine of exported commodity and so on.
二、乙方(fang)應在每票貨物出(chu)運(yun)之(zhi)前五個工作日(ri)以(yi)書面形式（包括(kuo)信(xin)函、傳真(zhen)、電(dian)(dian)報、電(dian)(dian)傳）向甲方(fang)提交《出(chu)口運(yun)輸委托書》（簡稱委托書或(huo)托單）。
Party B shall, within five working days prior to the shipment of cargo，submit Commission of Export Transport (referred to as Commission
委(wei)托書(shu)應包括(kuo)但不限于(yu)以下內容(rong)：
The contents of Commission include but no limit follows:
1．托運人名(ming)(ming)稱、姓名(ming)(ming)、地址、聯(lian)系方式；
2．收貨人(ren)名稱(cheng)、姓名、地址、聯(lian)系方式；
Name of consignee or staff, address and contact means;
3．通知(zhi)方(fang)名(ming)稱(cheng)、姓名(ming)、地址、聯系方(fang)式(shi)；
Notifing party’s name, staff’s name, address and contact means.
4．航班號(hao)、日期、始發(fa)港、目的(de)港；
Number of scheduled filght, date, airport of departure and destination.
5．貨物品名、件(jian)數、重量、體積、聲明價(jia)值；
Cargo name, number, weight, volume and the asserted value.
6．運費及(ji)其它費用的標準和支(zhi)付方(fang)式；
The standard of freight rates and other costs and the mode of payment.
7．托運人的簽名、蓋章、日期(qi)。
Signature, steal of shipper and the date.
乙方提交的委托書沒(mei)有簽(qian)名蓋章或(huo)(huo)缺乏上述部分或(huo)(huo)全部內(nei)容的，乙方應按照甲方要求進行補(bu)正，否則甲方有權拒絕接受委托。
Where the commission submited by Party B without its due signature and seal or deficiency of above part or complete content, Party B should carry on supplement and correct on the same by the requirement of Party A, otherwise Party A is entitle to refuse the commission.
三、乙方委托甲方代為辦理(li)(li)貨物出(chu)口報關和出(chu)口商品檢(jian)驗(yan)檢(jian)疫等事(shi)務的(de)，應(ying)及時向甲方提供辦理(li)(li)上述(shu)事(shi)務所(suo)需(xu)的(de)文件和單證(zheng)。乙方應(ying)對其提供的(de)文件和單證(zheng)的(de)真實性(xing)、合(he)法性(xing)和完整性(xing)負責。
Party B should, while delegating Party A effect on party B’s behalf the application to customsexport of commodity inspection and quarantine services, provide party A with the necessary files and documents in time for transaction of affairs above. Party B shall take responsibility for the authenticity, legitimacy and completeness of its files and documents.
四、乙方(fang)(fang)在向甲方(fang)(fang)發出委(wei)托后(hou)要求撤(che)銷(xiao)或變更委(wei)托事項(xiang)、委(wei)托內容的，應(ying)采用(yong)書(shu)面形式并得到甲方(fang)(fang)的認可，乙方(fang)(fang)應(ying)補償甲方(fang)(fang)由此(ci)付出的額外費(fei)用(yong)。
Where Party B request the rescission or alteration of commission affairs following issuing its delegation, should be in written form and recognized by the party A, and Party B should effect the compensation for Party A’s additional charges and fees.
五、接收貨物 Acceptance of cargo
如(ru)果(guo)(guo)甲(jia)方(fang)(fang)(fang)在收貨(huo)時發(fa)現乙方(fang)(fang)(fang)的貨(huo)物(wu)表面狀(zhuang)況（包括外(wai)包裝(zhuang)）不(bu)良，甲(jia)方(fang)(fang)(fang)有(you)權拒絕接收貨(huo)物(wu)。如(ru)果(guo)(guo)乙方(fang)(fang)(fang)不(bu)能在甲(jia)方(fang)(fang)(fang)要求的時間內對(dui)貨(huo)物(wu)及其包裝(zhuang)進行改良，甲(jia)方(fang)(fang)(fang)有(you)權停止為乙方(fang)(fang)(fang)出(chu)運貨(huo)物(wu)。由于甲(jia)方(fang)(fang)(fang)原因未(wei)能在乙方(fang)(fang)(fang)指(zhi)定時間內將貨(huo)物(wu)安排(pai)出(chu)港，乙方(fang)(fang)(fang)有(you)權向(xiang)甲(jia)方(fang)(fang)(fang)提出(chu)損失索賠。
If party A, at the time of acceptance of cargo, discocer the bad condition of cargo surface, including packaging, have the title to refuse to accept the same. If party B fail to effect improvement or making good on its package within the time required by Party A which shall have the right to stop shipment of goods for Party B. Where due to the reason of party A, fail to arrange the cargo leave airport within the time specified by party B which is entitle to claim for loss and compensation to Party A.
六、對貨物的要求 The requirement of consigned cargo
乙方(fang)不應(ying)在其托運(yun)(yun)的(de)貨(huo)物(wu)中夾帶禁止運(yun)(yun)輸(shu)、限制運(yun)(yun)輸(shu)物(wu)品和(he)危險物(wu)品。有關(guan)對(dui)禁止運(yun)(yun)輸(shu)、限制運(yun)(yun)輸(shu)物(wu)品和(he)危險物(wu)品的(de)規(gui)(gui)定以國際(ji)公約、相關(guan)國家法律法規(gui)(gui)規(gui)(gui)章、行(xing)業協會等的(de)明文規(gui)(gui)定為準。如乙方(fang)謊報貨(huo)物(wu)品名，夾帶上述(shu)物(wu)品，乙方(fang)應(ying)對(dui)由此而造成的(de)甲方(fang)的(de)全部損(sun)失承擔(dan)賠償責任。
Party B should not carry secretly or smuggle such cargos as the prohibited, limited and dangerous in the consigned cargos for transportation. The regulations on the forbided or limited and dangerous transportation cargo shall be subject to the international convenant, concerned countrie’s law, regulation , rule and other provision
七(qi)、乙(yi)方應向(xiang)甲方支付(fu)與貨(huo)物運輸有(you)關的所有(you)運雜費用。乙(yi)方應在(zai)貨(huo)物起飛后(hou)30天(tian)內將相應款項支付(fu)給甲方。
Party B shoud pay all tranportation fee and miscellaneous cost related the cargo transportation. Party B shall, within 30 days from and on the date of cargo’s taking-off by airplane,
八(ba)、本協(xie)議有關(guan)的(de)任何事務，適(shi)用中華人民共和國法律、法規及(ji)相(xiang)關(guan)國際公約(yue)的(de)規定。
Any affairs related herein shall apply to the law and regulation of People’s Republic of China and the stipulation of concerned international convenant.
九、協議的修(xiu)改和補充 Amendment and supplement hereto
對本協議的(de)修改和補充應采(cai)用(yong)書(shu)面形式(shi)，并(bing)得到雙方的(de)書(shu)面確(que)(que)認。修改和補充從雙方書(shu)面確(que)(que)認之日起生效(xiao)。
Any amendments and supplements to this Agreement shall be in writing, and subject to the written confirmation by paries hereto, which shall take effect from and on the date of written confirmation of parties hereto.
