“承運人”(CARRIER)是(shi)指(zhi)“中遠集運”,即中遠集裝箱運輸(shu)有限公司(si)。

"Carrier" means COSCO container lines company limited.

 

“貨(huo)方”(MERCHANT)包(bao)括發(fa)貨(huo)人(ren)(ren)、托運人(ren)(ren)、收貨(huo)人(ren)(ren)、受貨(huo)人(ren)(ren)、貨(huo)主、本提(ti)單的(de)合法持有人(ren)(ren)或被背(bei)書(shu)人(ren)(ren),或與貨(huo)物或本提(ti)單具(ju)有現時或未來(lai)利益(yi)關系的(de)任何人(ren)(ren),或被授權代(dai)表前述(shu)任何一方行事的(de)任何人(ren)(ren)。

"Merchant" includes the consignor, the shipper, the receiver, the consignee, the owner of the Goods, the lawful holder or endorsee of this Bill of Lading, or any other person having any present or future interest in the Goods or this Bill of Lading, or anyone authorized to act on behalf of any of the foregoing.

 

“船舶”按(an)有關上下(xia)文情況,包括本提單(dan)第6欄所列船舶或其替代(dai)船舶,以及承運(yun)(yun)人(ren)或代(dai)表承運(yun)(yun)人(ren)于全部運(yun)(yun)程中的海運(yun)(yun)階段所使用的任(ren)何支線(xian)船或駁船。

"Vessel", where the context so admits, includes the Vessel named in Box 6 of this Bill of Lading or any substitute therefor, and any feeder vessel, lighter or barge used by or on behalf of the Carrier in connection with any seaborne leg of the carriage.

 

“分(fen)(fen)立(li)(li)契(qi)(qi)約(yue)人(ren)(ren)”(SUB-CONTRACTOR)包括(除承運人(ren)(ren)以外的(de)(de))船舶所有人(ren)(ren)及(ji)(ji)經(jing)(jing)營人(ren)(ren),裝卸(xie)工人(ren)(ren),碼頭、倉庫、集裝箱儲運站經(jing)(jing)營人(ren)(ren)及(ji)(ji)拼箱經(jing)(jing)營人(ren)(ren),公路及(ji)(ji)鐵(tie)路運輸經(jing)(jing)營人(ren)(ren),及(ji)(ji)承運人(ren)(ren)雇傭的(de)(de)用(yong)以進行運輸的(de)(de)任何獨立(li)(li)訂約(yue)人(ren)(ren),以及(ji)(ji)其小分(fen)(fen)立(li)(li)契(qi)(qi)約(yue)人(ren)(ren)(SUB-SUB-CONTRACTOR)。分(fen)(fen)立(li)(li)契(qi)(qi)約(yue)人(ren)(ren)一詞(ci)應包括直接及(ji)(ji)間接分(fen)(fen)立(li)(li)契(qi)(qi)約(yue)人(ren)(ren)及(ji)(ji)其各自的(de)(de)受雇人(ren)(ren)、代(dai)理人(ren)(ren)或分(fen)(fen)立(li)(li)契(qi)(qi)約(yue)人(ren)(ren)。

"Sub-contractor" includes owners and operators of vessels (other than the Carrier), stevedores, terminal, warehouse, depot and groupage operators, road and rail transport operators and any independent contractor employed by the Carrier in the performance of the carriage and any sub-sub-contractor thereof. The expression Sub-contractor shall include direct and indirect Sub-contractors and their respective servants, agents or Sub-contractors.

 

“貨物”(GOODS)是指自貨方收(shou)到(dao)的全部貨物或(huo)其(qi)任(ren)何部分(fen),并(bing)包括非由承運人或(huo)其(qi)代表提供(gong)的任(ren)何集裝箱。

"Goods" means the whole or any part of the cargo received from the Merchant and includes any Container not supplied by or on behalf of the Carrier.

 

“件”是(shi)指由貨(huo)方(fang)或其代表裝載并鉛封的每一集裝箱,而不是(shi)在集裝箱中所裝的貨(huo)物件數,如果此項件數未在本提單正面列明(ming),或者是(shi)用(yong)“據(ju)稱內(nei)裝”或類似(si)詞句列明(ming)。

"Package" means each Container which is stuffed and sealed by or on behalf of the Merchant, and not the items packed in such Container if the number of such items is not indicated on the front of this Bill of Lading or is indicated by the terms such as "Said to Contain" or similar expressions.

 

“裝運(yun)單(dan)位”(SHIPPING UNIT)是指未以包件運(yun)輸(shu)的(de)(de)任(ren)何一個具(ju)體單(dan)位的(de)(de)貨物(wu),包括機械、車輛(liang)及(ji)船只,但(dan)散裝貨物(wu)除外。

"Shipping Unit" means any physical unit of cargo not shipped in a package, including machinery, vehicles and boats, except goods shipped in bulk.

 

“集裝(zhuang)箱”(CONTAINER)包括(kuo)任(ren)何(he)集裝(zhuang)箱,如開頂集裝(zhuang)箱、拖車(che)、可運油罐、框(kuang)架(jia)箱、平(ping)板箱、貨(huo)盤(pan),以及為運輸(shu)貨(huo)物而使用的任(ren)何(he)其他設(she)備或設(she)施。

"Container" includes any Container, open top, trailer, transportable tank, flat rack, platform, pallet, and any other equipment or device used for or in connection with the transportation of the Goods.

 

 

 

2.承運人的運價本  CARRIER'S TARIFF

 

承運(yun)人所(suo)使(shi)用的運(yun)價(jia)本(ben)中的條款(kuan)以及(ji)有關費收的其(qi)(qi)他要求等項,已被載入本(ben)提單。請特別注意(yi)運(yun)價(jia)本(ben)中所(suo)載各項條款(kuan),包括但不(bu)限于免費堆存期(qi)、集裝箱及(ji)車輛滯留期(qi)等。使(shi)用的運(yun)價(jia)本(ben)的有關條款(kuan),可向承運(yun)人或其(qi)(qi)代理人索取(qu)。如(ru)本(ben)提單與所(suo)用運(yun)價(jia)本(ben)之(zhi)間(jian)有不(bu)一致之(zhi)處(chu),應以本(ben)提單為(wei)準。

The terms of the Carrier's applicable Tariff and other requirements regarding charges are incorporated into this Bill of Lading. Particular attention is drawn to the terms contained therein, including, but not limited to, free storage time, Container and vehicle demurrage,etc. Copies of the relevant provisions of the applicable Tariff are obtainable from the Carrier or his agents upon request. In case of any inconsistency between this Bill of Lading and the applicable Tariff, this Bill of Lading shall prevail.

 

本(ben)(ben)條(tiao)是用(yong)以說明承(cheng)(cheng)運(yun)(yun)人運(yun)(yun)價(jia)(jia)本(ben)(ben)的(de)(de)作(zuo)用(yong)。提單(dan)正(zheng)面、背面條(tiao)款(kuan)(kuan)內容雖然十分豐富,但畢竟是固定(ding)(ding)的(de)(de)格式(shi),不可能(neng)經常更改;而(er)且(qie)運(yun)(yun)輸合同項下各項費用(yong)的(de)(de)收取,結算(suan)的(de)(de)依據往(wang)往(wang)要(yao)與具體港口的(de)(de)特殊要(yao)求相對應,或(huo)者隨(sui)著市(shi)場的(de)(de)變化而(er)變化,所以承(cheng)(cheng)運(yun)(yun)人用(yong)運(yun)(yun)價(jia)(jia)本(ben)(ben)的(de)(de)形式(shi)對此作(zuo)出規(gui)定(ding)(ding)。根據本(ben)(ben)條(tiao)款(kuan)(kuan)將運(yun)(yun)價(jia)(jia)本(ben)(ben)中的(de)(de)條(tiao)款(kuan)(kuan)并入提單(dan)并約束運(yun)(yun)輸合同的(de)(de)各方(fang)。

 

3.  SUB-CONTRACTING, INDEMNITY AND CERTAIN DEFENSES, EXEMPTIONS AND LIMITATIONS分(fen)立契約、賠償以(yi)及抗辯(bian)、免除事項及責任(ren)限制(zhi)

 (1)承運人有(you)權(quan)在任何(he)時(shi)間以任何(he)條件(jian)將運輸的全部(bu)或(huo)其(qi)任何(he)部(bu)分(fen)(fen)同任何(he)分(fen)(fen)立(li)契約(yue)人訂立(li)分(fen)(fen)立(li)契約(yue),并(或(huo))以任何(he)其(qi)他船舶或(huo)運輸工具代(dai)替本(ben)船。

(1)  The Carrier shall have the right at any time and on any terms whatsoever to sub-contract the whole or any part of the carriage with any Sub-contractor and/or to substitute any other vessel or means of transport for the Vessel.

 

(2)貨(huo)方保(bao)證,不(bu)向承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)以外的(de)(de)(de)由其(qi)(qi)履行或(huo)承(cheng)(cheng)(cheng)辦運(yun)(yun)輸(shu)的(de)(de)(de)任(ren)何(he)(he)人(ren)(ren)(ren)(包括但不(bu)限(xian)(xian)于(yu)(yu)承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)的(de)(de)(de)受(shou)雇(gu)人(ren)(ren)(ren)、代理人(ren)(ren)(ren)或(huo)分(fen)立(li)(li)契(qi)約(yue)人(ren)(ren)(ren))就(jiu)(jiu)貨(huo)物(wu)或(huo)貨(huo)物(wu)運(yun)(yun)輸(shu)一(yi)事(shi)(shi)而(er)提起向其(qi)(qi)或(huo)其(qi)(qi)所擁有或(huo)經營的(de)(de)(de)任(ren)何(he)(he)船(chuan)(chuan)舶(bo)加諸或(huo)意欲加諸任(ren)何(he)(he)責任(ren)的(de)(de)(de)索(suo)賠(pei)或(huo)任(ren)何(he)(he)法(fa)律訴(su)訟,不(bu)論(lun)此(ci)項(xiang)(xiang)責任(ren)是否由于(yu)(yu)此(ci)種人(ren)(ren)(ren)的(de)(de)(de)疏忽(hu)而(er)引起。如(ru)果(guo),即(ji)使(shi)如(ru)此(ci),此(ci)項(xiang)(xiang)索(suo)賠(pei)或(huo)法(fa)律訴(su)訟仍被提起,則貨(huo)方保(bao)證就(jiu)(jiu)由此(ci)引起的(de)(de)(de)后果(guo)包括法(fa)律費(fei)用(yong),全(quan)部賠(pei)償(chang)承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)。在不(bu)防礙(ai)上(shang)述(shu)規(gui)定的(de)(de)(de)情況下,上(shang)述(shu)第(1)款(kuan)所述(shu)每一(yi)個(ge)人(ren)(ren)(ren)或(huo)船(chuan)(chuan)舶(bo),包括但不(bu)限(xian)(xian)于(yu)(yu)承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)的(de)(de)(de)受(shou)雇(gu)人(ren)(ren)(ren)、代理人(ren)(ren)(ren)或(huo)分(fen)立(li)(li)契(qi)約(yue)人(ren)(ren)(ren),都(dou)應享有本提單所載適(shi)用(yong)于(yu)(yu)承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)的(de)(de)(de)在涉及(ji)合同(tong)或(huo)侵權(quan)事(shi)(shi)件中(zhong)的(de)(de)(de)每一(yi)免除事(shi)(shi)項(xiang)(xiang)、抗辯及(ji)責任(ren)限(xian)(xian)制(zhi)(zhi),猶如(ru)此(ci)種條款(kuan)已為其(qi)(qi)利(li)益而(er)明(ming)文規(gui)定,而(er)且在訂立(li)(li)本提單時(shi),就(jiu)(jiu)上(shang)述(shu)免除事(shi)(shi)項(xiang)(xiang)、抗辯及(ji)責任(ren)限(xian)(xian)制(zhi)(zhi)而(er)言,承(cheng)(cheng)(cheng)運(yun)(yun)人(ren)(ren)(ren)不(bu)僅代表其(qi)(qi)本身(shen),而(er)且也(ye)是作為上(shang)述(shu)的(de)(de)(de)人(ren)(ren)(ren)或(huo)船(chuan)(chuan)舶(bo)的(de)(de)(de)代理人(ren)(ren)(ren)或(huo)受(shou)托人(ren)(ren)(ren).

(2)  The Merchant undertakes that no claim or legal action whatsoever shall be made or brought against any person by whom the carriage is performed or undertaken (including, but not limited to, the Carrier's servants, agents or Sub-contractors), other than the Carrier, which imposes or attempts to impose upon any such person, or any vessel owned or operated by such person, any liability whatsoever in connection with the Goods or the carriage thereof whether or not arising out of negligence on the part of such person. Should any such claim or legal action nevertheless be made or brought, the Merchant undertakes to indemnify the Carrier against all consequences thereof including legal expenses on a full indemnity basis. Without prejudice to the foregoing, every such person or vessel, including, but not limited to, the Carrier's servants, agents, or Sub-contractors as defined in Clause 1 above, shall have the benefit of every exemption, defense and limitation herein contained applicable to the Carrier, in contract or in tort, as if such provision were expressly contracted for its benefit, and, in entering into this contract, the Carrier, to the extent of such exemptions, defenses and limitations, does so not only on its behalf, but also as an agent and trustee for such person or vessel.

 

 

4.  CARRIER'S RESPONSIBILITY 承運人的責任

(1)港到港運輸  如果填注本提單(dan)正面第6、7、8欄(lan),而不填注第4、5、9欄(lan),本提單(dan)便(bian)是港到港契約(yue)。承(cheng)(cheng)運人應自(zi)其在裝(zhuang)貨(huo)港收到貨(huo)物(wu)之時起即作為(wei)承(cheng)(cheng)運人而對貨(huo)物(wu)負責,直(zhi)至在卸貨(huo)港將貨(huo)物(wu)交(jiao)與貨(huo)方或(huo)按當地法律或(huo)規章要求交(jiao)與有關當局(ju)之時為(wei)止,二者之中以(yi)先發生者為(wei)準(zhun)。

(1)  Port to Port Shipment If boxes 6, 7 and 8 but not boxes 4,5and 9 are filled in on the front of this Bill of Lading, this Bill of Lading is a Port-to-Port contract. The Carrier shall be responsible for the Goods as Carrier from the time when the Goods are received by the Carrier at the Port of Loading until the time of delivery thereof at the port of discharge to the Merchant or to the Authority as required by local laws or regulations, whichever occurs earlier.

 

(2)聯合運輸  如(ru)果填注本提(ti)單(dan)正面(mian)的(de)第(di)4、第(di)5及(ji)(或(huo)(huo)(huo))第(di)9欄(lan),而且該欄(lan)中所(suo)述(shu)地(di)(di)點(dian)或(huo)(huo)(huo)港口(kou)乃是(shi)除第(di)7欄(lan)及(ji)第(di)8欄(lan)所(suo)列者(zhe)以(yi)(yi)外的(de)地(di)(di)點(dian)或(huo)(huo)(huo)港口(kou),并已就聯(lian)合(he)(he)(he)運(yun)(yun)輸(shu)支(zhi)付(fu)運(yun)(yun)費,本提(ti)單(dan)便是(shi)聯(lian)合(he)(he)(he)運(yun)(yun)輸(shu)提(ti)單(dan)。承(cheng)運(yun)(yun)人(ren)(ren)負責(ze)安排或(huo)(huo)(huo)組織落實聯(lian)合(he)(he)(he)運(yun)(yun)輸(shu)中的(de)前一程(cheng)運(yun)(yun)輸(shu)以(yi)(yi)及(ji)(或(huo)(huo)(huo))續程(cheng)運(yun)(yun)輸(shu)。所(suo)有由于聯(lian)合(he)(he)(he)運(yun)(yun)輸(shu)而引(yin)起的(de)索賠(pei)(pei)必須在(zai)交付(fu)貨(huo)物之(zhi)日或(huo)(huo)(huo)應(ying)當交付(fu)貨(huo)物之(zhi)日之(zhi)后九個(ge)月內(nei)向承(cheng)運(yun)(yun)人(ren)(ren)提(ti)出,否則(ze)承(cheng)運(yun)(yun)人(ren)(ren)便應(ying)被解除其關(guan)于貨(huo)物的(de)任何(he)責(ze)任。如(ru)果承(cheng)運(yun)(yun)人(ren)(ren)已就因聯(lian)合(he)(he)(he)運(yun)(yun)輸(shu)而引(yin)起的(de)任何(he)索賠(pei)(pei)向貨(huo)方支(zhi)付(fu)任何(he)款項,承(cheng)運(yun)(yun)人(ren)(ren)便應(ying)自然而然地(di)(di)以(yi)(yi)代位關(guan)系而取得或(huo)(huo)(huo)被賦(fu)予貨(huo)方針對(dui)所(suo)有其他人(ren)(ren)包(bao)括前一程(cheng)承(cheng)運(yun)(yun)人(ren)(ren)或(huo)(huo)(huo)續程(cheng)承(cheng)運(yun)(yun)人(ren)(ren)或(huo)(huo)(huo)分立契約(yue)人(ren)(ren)就此項滅失或(huo)(huo)(huo)損害而享有的(de)權利。

(2)  Combined Transport If Box 4, Box 5 and/or Box 9 are filled in on the front of this Bill of Lading and the place(s) or port(s) indicated therein is/are place(s) or port(s) other than that indicated in Box 7 and Box 8 and Freight is paid for combined transport, this Bill of Lading is a combined transport contract. The Carrier undertakes to arrange or procure the pre-carriage and/or on-carriage segments of the combined transport. All claims arising from the combined transport carriage must be filed with the Carrier within 9 months after the delivery of the Goods or the date when the Goods should have been delivered, failing which the Carrier shall be discharged from all liabilities whatsoever in respect of the Goods. If any payment is made by the Carrier to the Merchant in respect of any claim arising from the combined transport carriage, the Carrier shall be automatically subrogated to or given all rights of the Merchant against all others including pre-carrier or on-carrier or Sub-contractor on account of such loss or damage. Nothing herein contained shall be deemed a waiver of any rights that the Carrier may have against a pre-carrier or on-carrier or Sub-contractor for indemnity or otherwise.

 

5.  NOTICE OF CLAIM AND TIME BAR  索賠通知及時效

(1)除非(fei)已在(zai)(zai)卸(xie)貨(huo)(huo)港或(huo)(huo)(huo)(huo)(huo)交(jiao)(jiao)貨(huo)(huo)地(di)點于交(jiao)(jiao)貨(huo)(huo)之(zhi)日(ri)以前(qian)或(huo)(huo)(huo)(huo)(huo)交(jiao)(jiao)貨(huo)(huo)之(zhi)日(ri)向承(cheng)運(yun)人的代理人提出關于滅失或(huo)(huo)(huo)(huo)(huo)損(sun)害(hai)的書面(mian)通知,或(huo)(huo)(huo)(huo)(huo)在(zai)(zai)滅失或(huo)(huo)(huo)(huo)(huo)損(sun)害(hai)不明(ming)顯時,在(zai)(zai)交(jiao)(jiao)貨(huo)(huo)之(zhi)日(ri)以后15個連續日(ri)之(zhi)內提出上述書面(mian)通知,此項交(jiao)(jiao)付便應是(shi)承(cheng)運(yun)人及(或(huo)(huo)(huo)(huo)(huo))續程承(cheng)運(yun)人按本提單(dan)所述狀況及條件交(jiao)(jiao)付貨(huo)(huo)物(wu)的初步證據。

(1)  Unless notice of loss or damage is given in writing to the Carrier's agent at the Port of Discharge or Place of Delivery before or on the date of delivery of the Goods, or if loss or damage is not apparent, within 15 consecutive days thereafter, such delivery shall be prima facie evidence of the delivery of the Goods by the Carrier and/or on-carrier in the order and condition described in this Bill of Lading.

 

(2)除在交付貨物或應交付貨物之日(ri)起(qi)一年之內提起(qi)訴訟,承運人(ren)、其受雇人(ren)、代理人(ren)及分立契約人(ren)便(bian)應被解除一切責(ze)任(ren)。

(2)  The Carrier, its servants, agents and Sub-contractors shall be discharged from all liabilities whatsoever unless suit is brought within one year after the delivery of the Goods or the date when the Goods should have been delivered.

 

6.  LOSS OR DAMAGE  滅失或損害

(1)本提單的條款應(ying)在(zai)所(suo)有(you)(you)時間(jian)都對承運人就(jiu)其(qi)因運輸(shu)貨(huo)物(wu)而(er)產生的責(ze)(ze)任(ren)(ren)加以管(guan)轄,不僅(jin)在(zai)運輸(shu)期(qi)間(jian),而(er)且在(zai)運輸(shu)之(zhi)前及運輸(shu)之(zhi)后,都是(shi)如(ru)此(ci)。本提單所(suo)載或(huo)(huo)(huo)其(qi)他關于免(mian)除責(ze)(ze)任(ren)(ren)、抗辯及責(ze)(ze)任(ren)(ren)限制(zhi)等項(xiang),都應(ying)在(zai)就(jiu)滅(mie)失、損害或(huo)(huo)(huo)延誤事(shi)件而(er)向承運人提起的任(ren)(ren)何訴(su)訟中(zhong)適用,而(er)且不論(lun)該(gai)項(xiang)訴(su)訟是(shi)基于合(he)同(tong)糾(jiu)紛或(huo)(huo)(huo)侵權行為而(er)提起,即使此(ci)項(xiang)滅(mie)失、損害或(huo)(huo)(huo)延誤乃是(shi)由于不適航、疏忽或(huo)(huo)(huo)根本違(wei)約(yue)而(er)產生亦然。除本提單中(zhong)另(ling)有(you)(you)規定外,承運人不論(lun)在(zai)任(ren)(ren)何情(qing)況下亦不論(lun)其(qi)產生原因為何,對因延誤造成的直接(jie)、間(jian)接(jie)或(huo)(huo)(huo)隨之(zhi)發生的滅(mie)失或(huo)(huo)(huo)損害或(huo)(huo)(huo)利潤損失,概(gai)不承擔(dan)責(ze)(ze)任(ren)(ren)。

(1)  The terms of this Bill of Lading shall at all times govern all responsibilities of the Carrier in connection with or arising out of the carriage of the Goods not only during the carriage, but also during the period prior to and/or subsequent to the carriage. The exemptions from liability, defenses and limitation of liability provided for herein or otherwise shall apply in any action against the Carrier for loss or damage or delay, howsoever occurring and whether the action be founded in contract or in tort and even if the loss, damage or delay arose as a result of unseaworthiness, negligence or fundamental breach of contract. Save as is otherwise provided herein, the Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct or indirect or consequential loss or damage or loss of profits.

 

(2)承運人不(bu)保(bao)證,貨(huo)物在(zai)某一(yi)特(te)定日期或(huo)(huo)(huo)(huo)時間(jian)(jian),也不(bu)保(bao)證為(wei)(wei)(wei)滿(man)足某一(yi)特(te)定市場,或(huo)(huo)(huo)(huo)為(wei)(wei)(wei)某一(yi)特(te)定用(yong)途(tu)而自(zi)接貨(huo)或(huo)(huo)(huo)(huo)裝(zhuang)運地點起運,準時運抵卸貨(huo)地點、目的(de)地或(huo)(huo)(huo)(huo)轉運到(dao)某一(yi)特(te)定船(chuan)舶或(huo)(huo)(huo)(huo)其他(ta)運輸工具(ju)上(shang)(shang)。船(chuan)期表(biao)上(shang)(shang)或(huo)(huo)(huo)(huo)廣(guang)告上(shang)(shang)的(de)離港(gang)及抵港(gang)時間(jian)(jian)只(zhi)是預計時間(jian)(jian),如(ru)果承運人認為(wei)(wei)(wei)必(bi)要,為(wei)(wei)(wei)慎重或(huo)(huo)(huo)(huo)便利起見,可(ke)將該時間(jian)(jian)提(ti)前或(huo)(huo)(huo)(huo)拖后。承運人在(zai)任何情況下,不(bu)論是如(ru)何發生,對因延(yan)誤造成的(de)直接、間(jian)(jian)接或(huo)(huo)(huo)(huo)隨之(zhi)發生的(de)滅(mie)失或(huo)(huo)(huo)(huo)損害概不(bu)負(fu)責(ze)。

(2) The Carrier does not undertake that the Goods will be transported from or loaded at the place of receipt or loading or will arrive at the place of discharge, destination or transshipment aboard any particular vessel or other conveyance at any particular date or time or to meet any particular market or in time for any particular use. Scheduled or advertised departure and arrival times are only expected times and may be advanced or delayed if the Carrier shall find it necessary, prudent or convenient. The Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct, indirect or consequential loss or damage caused by delay.

 

(3)如果能對聯(lian)合運(yun)輸過程中發(fa)生滅(mie)失(shi)(shi)或(huo)損(sun)害(hai)所屬階段加以判(pan)明(ming),承運(yun)人(ren)的(de)責任便應適(shi)用(yong)該階段的(de)國內法或(huo)國際公約(yue)。如果在(zai)聯(lian)合運(yun)輸過程中發(fa)生滅(mie)失(shi)(shi)或(huo)損(sun)害(hai)的(de)階段無法判(pan)明(ming),則貨方與承運(yun)人(ren)商定(ding),應將此項滅(mie)失(shi)(shi)或(huo)損(sun)害(hai)視為發(fa)生在(zai)承運(yun)人(ren)的(de)船上。無論屬于上述何種情(qing)況,均應適(shi)用(yong)第(di)5條(2)款及第(di)7條中的(de)規(gui)定(ding)。

(3)  If the stage of the combined transport during which loss or damage occurred can be determined, the liability of the Carrier shall be governed by the national law(s) and/or international convention(s) applicable thereto. If the stage of the combined transport during which loss or damage occurred cannot be determined, the Merchant and the Carrier agree that it shall be deemed that the loss or damage occurred aboard the Carrier's Vessel. In either case, clauses 5(2) and 7 shall apply.

 

7.  LIMITATION OF LIABILITY

(1)除(chu)第7(2)款另有規(gui)定(ding)(ding)外,本(ben)提單(dan)應受第26(1)款中所述(shu)中華人民共和國海商法(fa)管轄。從而(er),無論是承運人、其受雇人、代理(li)人、分立契約人及(或)船(chuan)舶,在任(ren)(ren)何情況(kuang)下對超出該(gai)法(fa)規(gui)定(ding)(ding)的每件或每單(dan)位賠償限(xian)度的任(ren)(ren)何數額,概不負(fu)賠償責任(ren)(ren),除(chu)非已由貨(huo)方將貨(huo)物的性質及價(jia)值(zhi)于裝運前加以申報(bao),并已載入提單(dan)(第10欄),而(er)且貨(huo)方已就此(ci)項申報(bao)的價(jia)值(zhi)加付(fu)運費。

(1) Except as provided for in Clause 7(2), this Bill of Lading shall be subject to the provisions of the Maritime Code of the People's Republic of China as provided for in Clause 26(1). Neither the Carrier, its servants, agents, Sub-contractors nor the Vessel shall in any event be liable for any loss or damage to the Goods in any amount exceeding the limits per package or unit prescribed by that Code, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(2)如有關運(yun)(yun)(yun)輸(shu)(shu)包(bao)括駛(shi)往、來自或(huo)經過美利堅(jian)合眾國(guo)(guo)(guo)某一港口或(huo)地點的運(yun)(yun)(yun)輸(shu)(shu),本(ben)提單(dan)便應(ying)受(shou)其第(di)(di)26(2)款中所(suo)述1936年美國(guo)(guo)(guo)海上貨(huo)物(wu)運(yun)(yun)(yun)輸(shu)(shu)法(US COGSA)及其修(xiu)訂條款的約束。無論是承運(yun)(yun)(yun)人(ren)(ren)、其受(shou)雇(gu)人(ren)(ren)、代理人(ren)(ren)、分立契約人(ren)(ren)及(或(huo))船舶,在任(ren)何情(qing)況下,對(dui)超出美國(guo)(guo)(guo)海上貨(huo)物(wu)運(yun)(yun)(yun)輸(shu)(shu)法中規定的每件或(huo)每單(dan)位賠償限度的任(ren)何數額,都不負(fu)責,除非貨(huo)方(fang)已在裝運(yun)(yun)(yun)前將貨(huo)物(wu)性質(zhi)及價值加以申報(bao)并已載入(ru)本(ben)提單(dan)(第(di)(di)10欄),而且貨(huo)方(fang)已就此(ci)項申報(bao)價值加付運(yun)(yun)(yun)費(fei)。

(2)  Where carriage includes carriage to or from or through a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of the United States Carriage of Goods by Sea Act, 1936 (US COGSA) and any amendments thereto, as provided for in Clause 26(2) hereof. In such event, neither the Carriers nor its servants, agents, Sub-contractors and/or the Vessel shall in any event be liable for any loss of or damage to the Goods in an amount exceeding the limits per package or unit prescribed by US COGSA, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(3)如(ru)已(yi)(yi)(yi)將(jiang)除中華人(ren)民(min)共和(he)國(guo)海商法(fa)(fa)及美國(guo)海上貨(huo)物運(yun)輸法(fa)(fa)以外(wai)的(de)(de)法(fa)(fa)律強制(zhi)適(shi)用(yong)于本提單,承運(yun)人(ren)的(de)(de)責任便不(bu)得超出該(gai)法(fa)(fa)規定的(de)(de)每件或每單位的(de)(de)賠(pei)償限額,除非該(gai)貨(huo)物的(de)(de)性質及價(jia)值已(yi)(yi)(yi)由貨(huo)方加以申(shen)報(bao)并已(yi)(yi)(yi)載入提單(第(di)10欄),而且(qie)貨(huo)方已(yi)(yi)(yi)就此項(xiang)申(shen)報(bao)價(jia)值加付運(yun)費。

(3)  If a legal regime other than the Maritime Code of the People's Republic of China or US COGSA is compulsorily applied to this Bill of Lading, the liability of the Carrier, if any, shall not exceed the limits per Package or Shipping Unit prescribed therein, unless the nature and value of the Goods have been declared by the Merchant and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.

 

(4)就本(ben)條款而言,申報價值應(ying)為(wei)計(ji)算承運(yun)人責任的基礎,但此項(xiang)(xiang)申報價值就承運(yun)人而言并非終結性的,而且此項(xiang)(xiang)申報價值不得超過(guo)該貨(huo)在目(mu)的地(di)的實際價值。所有部分滅失或損害均應(ying)以此項(xiang)(xiang)申報價值為(wei)基礎按比例進行調(diao)整。

(4) For the purpose of this Clause 7, the declared value shall be the basis for calculating the Carrier's liability, if any, provided that such declared value shall not be conclusive on the Carrier, and further provided that such declared value does not exceed the true value of the Goods at destination. Any partial loss or damage shall be adjusted pro-rata on the basis of such declared value.

 

8. FIRE 火(huo)災

承運人(ren)對在(zai)任(ren)何時間,不論是(shi)在(zai)貨物裝(zhuang)船前或(huo)是(shi)卸船后由于火災而使(shi)貨物遭受(shou)的(de)滅失或(huo)損害,除系承運人(ren)的(de)實(shi)際過失所造(zao)成者外,概不負責。

The Carrier shall not be liable for any loss of or damage to the Goods occurring at any time, including that before loading or after discharge by reason of any fire whatsoever, unless such fire is caused by the actual fault of the Carrier.

 

 

9.  CARRIER'S CONTAINERS 承運(yun)人集裝箱

(1)以件(jian)貨(huo)形式所(suo)收(shou)到的貨(huo)物(wu)(wu)應(ying)由承(cheng)(cheng)運人(ren)裝(zhuang)入集裝(zhuang)箱(xiang);承(cheng)(cheng)運人(ren)有(you)權將不論是否為承(cheng)(cheng)運人(ren)裝(zhuang)箱(xiang)的任何集裝(zhuang)箱(xiang)裝(zhuang)于艙(cang)面(mian)或(huo)艙(cang)內。所(suo)有(you)這些貨(huo)物(wu)(wu)均應(ying)分攤共(gong)同海損。本提(ti)單中(zhong)的條款包(bao)括第(di)26款所(suo)述中(zhong)華(hua)人(ren)民共(gong)和國(guo)海商(shang)法及美國(guo)海上貨(huo)物(wu)(wu)運輸法,均應(ying)適用于艙(cang)面(mian)所(suo)裝(zhuang)集裝(zhuang)箱(xiang)。

(1)  Goods received in break bulk will be stuffed by the Carrier in Containers and the Carrier shall have the right to carry any Containers, whether or not stuffed by the Carrier, on deck or below deck. All such Goods shall participate in General Average.

 

(2)如果承(cheng)運(yun)人(ren)(ren)的(de)集裝箱(xiang)及設備被貨方(fang)用于前程(cheng)運(yun)輸或(huo)續程(cheng)運(yun)輸,或(huo)在貨方(fang)營業處(chu)所開箱(xiang),則(ze)貨方(fang)應在運(yun)價本規定的(de)時(shi)間內并/或(huo)按承(cheng)運(yun)人(ren)(ren)要求,將(jiang)空箱(xiang)歸(gui)還(huan)至承(cheng)運(yun)人(ren)(ren)、其受雇(gu)人(ren)(ren)或(huo)代(dai)理人(ren)(ren)指定的(de)地點,并應將(jiang)空箱(xiang)內部洗刷清潔、不留(liu)異(yi)味。如有(you)集裝箱(xiang)未(wei)在上述時(shi)間內歸(gui)還(huan),貨方(fang)應就(jiu)未(wei)還(huan)空箱(xiang)而引起的(de)延誤、滯(zhi)期、損失或(huo)費(fei)用承(cheng)擔(dan)責任。

(2)  If Carrier's Containers and equipment are used by the Merchant for pre-carriage or on-carriage or unpacked at the Merchant's premises, the Merchant is responsible for returning the empty Containers, with interiors brushed, clean and free of smell to the point or place designated by the Carrier, its servants or agents, within the time prescribed in the Tariff and/or required by the Carrier. Should a Container not be returned within the aforesaid time, the Merchant shall be liable for any detention, demurrage, loss or expenses which may arise from such non-return.

 

(3)貨(huo)(huo)方應(ying)(ying)就承(cheng)運(yun)人(ren)的集裝(zhuang)箱或(huo)其他設備在貨(huo)(huo)方或(huo)代表貨(huo)(huo)方的任何人(ren)看管期間所發(fa)生(sheng)的一(yi)(yi)切滅失(shi)或(huo)損害負(fu)(fu)責(ze)。貨(huo)(huo)方還(huan)應(ying)(ying)就在此(ci)期間發(fa)生(sheng)的對他人(ren)的財物發(fa)生(sheng)的滅失(shi)或(huo)損害或(huo)傷亡事故負(fu)(fu)責(ze),而(er)且(qie)貨(huo)(huo)方應(ying)(ying)就上(shang)述期間因任何或(huo)所有索賠案件而(er)引起(qi)的一(yi)(yi)切費用包括法律費用賠付承(cheng)運(yun)人(ren),并使承(cheng)運(yun)人(ren)免于(yu)負(fu)(fu)責(ze)。

(3)  The Merchant shall be liable for any loss of or damage to Carrier's Containers and other equipment while in the custody of the Merchant or anyone acting on the Merchant's behalf. The Merchant shall also be liable during such period for any loss of or damage to the property of others or for any injuries or death and the Merchant shall indemnify and hold the Carrier harmless against all damages, including legal expenses, incurred from any and all such claims arising during such periods.

 

 

10.  MERCHANT-STUFFED CONTAINER 貨方(fang)裝箱(xiang)的集(ji)裝箱(xiang)

(1)如(ru)(ru)集裝(zhuang)箱不是由(you)承(cheng)運人或(huo)(huo)承(cheng)運人的(de)(de)代表所(suo)裝(zhuang),承(cheng)運人便不對貨物(wu)的(de)(de)滅(mie)失(shi)或(huo)(huo)損害負責(ze),而(er)且貨方應(ying)就承(cheng)運人所(suo)發生的(de)(de)任(ren)何(he)滅(mie)失(shi)、損害、責(ze)任(ren)或(huo)(huo)費(fei)(fei)用負責(ze),如(ru)(ru)果(guo)此項滅(mie)失(shi)、損害、責(ze)任(ren)或(huo)(huo)費(fei)(fei)用系(xi)由(you)以下原因(yin)造(zao)成(cheng):

(1)  If a Container has not been stuffed by or on behalf of the Carrier, the Carrier shall not be liable for loss of or damage to the Goods and the Merchant shall indemnify the Carrier against any loss, damage, liability or expense incurred by the Carrier if such loss, damage, liability or expense has been caused by:

 

(a)集裝(zhuang)箱的裝(zhuang)載或填(tian)裝(zhuang)的方式,或者

(a)  the manner in which the Container has been filled, packed, loaded or stuffed, or

 

(b)貨(huo)物(wu)不適于(yu)以集裝(zhuang)箱運輸(shu),或者

(b)  the unsuitability of the Goods for carriage in the Container, or

 

(c)集裝(zhuang)(zhuang)箱的不適(shi)當性或條件欠佳,而如(ru)集裝(zhuang)(zhuang)箱系由承運人(ren)或承運人(ren)的代表(biao)提供,則此項(xiang)不適(shi)當性及欠佳條件在裝(zhuang)(zhuang)箱之(zhi)時或之(zhi)前經貨(huo)方檢驗便(bian)應明顯易見(jian)。

(c)  the unsuitability or defective condition of the Container, provided that, if the Container had been supplied by or on behalf of the Carrier, this unsuitability or defective condition could have been apparent upon inspection by the Merchant at or prior to the time when the Container was filled, packed, loaded or stuffed.

 

(2)如果由(you)貨方提(ti)供的集裝箱在承運人交(jiao)付(fu)(fu)時鉛(qian)封完好,此項交(jiao)付(fu)(fu)便(bian)應(ying)構成承運人在本提(ti)單項下的責任(ren)已完全(quan)并充分履(lv)行,因而承運人對交(jiao)付(fu)(fu)貨物時查(cha)出的任(ren)何滅(mie)失或短少概不負責。

(2)  If a Merchant-stuffed Container is delivered by the Carrier with its seal intact, such delivery shall constitute full and complete performance of the Carrier's obligations hereunder and the Carrier shall not be liable for any loss or shortage of the Goods ascertained at delivery.

 

(3)貨方應(ying)在(zai)裝(zhuang)箱(xiang)之前對集裝(zhuang)箱(xiang)進(jin)行(xing)檢驗,而對集裝(zhuang)箱(xiang)的使用乃(nai)是對其適用性及無有瑕疵的初步證(zheng)據(ju)。

(3)  he Merchant shall inspect Containers before stuffing them and the use of a Container shall be prima facie evidence of its being suitable and without defect.

 

 

11.  MERCHANT'S DESCRIPTION 貨方的描述

(1)貨(huo)(huo)(huo)方(fang)對(dui)其(qi)(qi)所裝(zhuang)或(huo)貨(huo)(huo)(huo)方(fang)代(dai)表所裝(zhuang)的(de)(de)(de)已(yi)鉛封集(ji)裝(zhuang)箱(xiang)(xiang)(xiang)中(zhong)的(de)(de)(de)貨(huo)(huo)(huo)物的(de)(de)(de)描(miao)述(shu),對(dui)承(cheng)運(yun)(yun)人(ren)不(bu)具有約束(shu)力,而(er)且貨(huo)(huo)(huo)方(fang)在(zai)本提單(dan)正面所申報的(de)(de)(de)情況,是由(you)貨(huo)(huo)(huo)方(fang)全然為其(qi)(qi)本身(shen)包括但不(bu)限于(yu)其(qi)(qi)貨(huo)(huo)(huo)運(yun)(yun)代(dai)理(li)使用的(de)(de)(de)目的(de)(de)(de)而(er)提供(gong)的(de)(de)(de)資(zi)料(liao)。貨(huo)(huo)(huo)方(fang)認識到,承(cheng)運(yun)(yun)人(ren)未(wei)對(dui)鉛封集(ji)裝(zhuang)箱(xiang)(xiang)(xiang)的(de)(de)(de)內裝(zhuang)貨(huo)(huo)(huo)物、重(zhong)量(liang)或(huo)尺(chi)碼進行(xing)核對(dui),因而(er)承(cheng)運(yun)(yun)人(ren)不(bu)提供(gong)關于(yu)已(yi)鉛封集(ji)裝(zhuang)箱(xiang)(xiang)(xiang)、貨(huo)(huo)(huo)車、條板(ban)箱(xiang)(xiang)(xiang)或(huo)貨(huo)(huo)(huo)箱(xiang)(xiang)(xiang)的(de)(de)(de)情況,亦不(bu)提供(gong)其(qi)(qi)重(zhong)量(liang)或(huo)尺(chi)碼,且不(bu)提供(gong)其(qi)(qi)內裝(zhuang)貨(huo)(huo)(huo)物的(de)(de)(de)價值、數量(liang)、品(pin)質、貨(huo)(huo)(huo)名、條件、嘜頭或(huo)號(hao)碼。承(cheng)運(yun)(yun)人(ren)關于(yu)上述(shu)描(miao)述(shu)或(huo)具體資(zi)料(liao)概不(bu)承(cheng)擔任(ren)何責(ze)任(ren)。

(1)  The Merchant's description of the Goods stuffed in a sealed Container by the Merchant, or on his behalf, shall not be binding on the Carrier, and the description declared by the Merchant on the front of this Bill of Lading is information provided by the Merchant solely for its own use including but not limited to the use of its freight forwarder. It is understood by the Merchant that the Carrier has not verified the contents, weight or measurement of a sealed container, and the Carrier makes no representation as to the contents of a sealed Container, van, crate or box hereunder, nor its weight or measurement, nor the value, quantity, quality, description, condition, marks or number of the contents thereof. The Carrier shall be under no responsibility whatsoever in respect of such description or particulars.

 

 (2)如(ru)有信用證(zheng)及(ji)(或(huo))進口許可(ke)證(zheng)及(ji)(或(huo))銷售合(he)同(tong)(tong)、發票及(ji)(或(huo))訂(ding)單(dan)號碼以及(ji)承(cheng)運(yun)人不(bu)(bu)是其當事一(yi)方(fang)的任(ren)何合(he)同(tong)(tong)的詳細資料在提(ti)(ti)單(dan)正面載明(ming),這種資料的出(chu)現乃是全然(ran)應貨方(fang)要(yao)求為(wei)貨方(fang)的方(fang)便而列出(chu)。貨方(fang)同(tong)(tong)意(yi),上述資料不(bu)(bu)得視為(wei)對價值(zhi)的申報,因而對承(cheng)運(yun)人在本提(ti)(ti)單(dan)項(xiang)下的責任(ren)絕不(bu)(bu)發生(sheng)影響。貨方(fang)承(cheng)認(ren),除(chu)根據本提(ti)(ti)單(dan)第7款外,貨物(wu)的價值(zhi)不(bu)(bu)為(wei)承(cheng)運(yun)人所知。

(2) If any particulars of any letter of credit and/or import license and/or sales contract and/or invoice or order number and/or details of any contract to which the Carrier is not a party are shown on the front of this Bill of Lading, such particulars are included solely at the request of the Merchant for its convenience. The Merchant agrees that the inclusion of such particulars shall not be regarded as a declaration of value and shall in no way affect the Carrier's liability under this Bill of Lading. The Merchant acknowledges that, except as provided for in Clause 7 hereof, the value of the Goods is unknown to the Carrier.

 

 

12.  MERCHANT'S RESPONSIBILITY 貨方(fang)責任

(1)本(ben)提單(dan)第(di)1款定義(yi)中作為(wei)貨方(fang)(fang)列舉的(de)(de)各方(fang)(fang),應就其根據(ju)本(ben)提單(dan)所應承擔的(de)(de)全部責(ze)任之(zhi)認(ren)真履(lv)行而對承運人負連帶責(ze)任。

(1)  The parties defined as "Merchant" in clause 1 hereof shall, where applicable, be jointly and severally liable to the Carrier for the due fulfillment of all obligations undertaken by any of them under this Bill of Lading.

 

(2)貨(huo)(huo)方向承運(yun)人保證,在本提單(dan)正面填(tian)列的關于(yu)貨(huo)(huo)物(wu)的資(zi)(zi)(zi)料(liao),在收到本提單(dan)時已經核(he)對,而且此項(xiang)資(zi)(zi)(zi)料(liao)以(yi)及由(you)貨(huo)(huo)方或(huo)貨(huo)(huo)方代表提供(gong)的任何資(zi)(zi)(zi)料(liao)均(jun)屬恰(qia)當并(bing)正確。貨(huo)(huo)方還保證,貨(huo)(huo)物(wu)乃是合法貨(huo)(huo)物(wu)而非(fei)禁運(yun)品。

(2)  The Merchant warrants to the Carrier that the particulars relating to the Goods as set forth on the front of this Bill of Lading have been checked by the Merchant on receipt of this Bill of Lading and that such particulars, and any particulars furnished by or on behalf of the Merchant, are adequate and correct. The Merchant also warrants that the Goods are lawful Goods and are not contraband.

 

 (3)貨(huo)方應就(jiu)因違反本提(ti)單第12(2)款或承(cheng)運(yun)(yun)人對(dui)之不負責任的(de)與貨(huo)物有關的(de)任何(he)原因而引起或造成的(de)一(yi)切責任、費用、滅(mie)失、損害、罰(fa)款、處罰(fa)、開支或其(qi)他屬(shu)于錢財性質的(de)制裁,給予(yu)承(cheng)運(yun)(yun)人以賠(pei)償。

(3)  The Merchant shall indemnify the Carrier against all liabilities, costs, losses, damages, fines, penalties, expenses or other sanctions of a monetary nature arising or resulting from any breach of the warranties in Clause 12(2) hereof or from any other cause in connection with the Goods for which the Carrier is not responsible.

 

(4)貨(huo)方應(ying)遵(zun)守所(suo)有海關(guan)、港口及其(qi)他(ta)當(dang)局的規章或(huo)要(yao)求(qiu),并應(ying)承(cheng)擔并支(zhi)付(fu)由于未能(neng)遵(zun)守此(ci)(ci)項規定或(huo)要(yao)求(qiu)或(huo)由于不(bu)合法、不(bu)正(zheng)確或(huo)不(bu)適當(dang)的貨(huo)物(wu)嘜頭(tou)、編號或(huo)地(di)址而發生或(huo)遭受的所(suo)有捐、稅(shui)、罰款、輸入稅(shui)、費用(yong)或(huo)損失(包括退運貨(huo)物(wu)的全部退運運費,或(huo)續運貨(huo)物(wu)之自提(ti)單所(suo)載卸(xie)(xie)貨(huo)港或(huo)交(jiao)貨(huo)地(di)點(dian)(dian)運往改正(zheng)后(hou)的卸(xie)(xie)港或(huo)改正(zheng)后(hou)的交(jiao)貨(huo)地(di)點(dian)(dian)的全額運費),并應(ying)就此(ci)(ci)而給予承(cheng)運人賠(pei)償。

(4)  The Merchant shall comply with all regulations or requirements of customs, port and other Authorities, and shall bear and pay all duties, taxes, fines, imposts, expenses or losses (including the full return Freight for the Goods if returned, or if on-carried, the full Freight from the Port of Discharge or the Place of Delivery nominated herein to the amended Port of Discharge or the amended Place of Delivery) incurred and/or sustained by reason of any failure to so comply, or by reason of any illegal, incorrect or insufficient marking, numbering, or addressing of the Goods, and shall indemnify the Carrier in respect thereof.

 

 

13.  FREIGHT AND CHARGES  運費(fei)(fei)及費(fei)(fei)用

(1)所有(you)運費都應在承運人(ren)收到貨物時即視(shi)為已(yi)經全(quan)額、最終并已(yi)無條件地賺得,并應在任(ren)何情況(kuang)下均須(xu)支付,且不予退還。

(1)  All Freight shall be deemed fully, finally and unconditionally earned on receipt of the Goods by the Carrier and shall be paid and non-returnable in any event whatsoever.

 

(2)所有(you)運(yun)費及費用(yong)均應在交付(fu)貨物(wu)前支付(fu),而不(bu)得(de)作任何沖抵、反索賠、扣減或延(yan)緩執行(xing)。

(2)  All Freight and charges shall be paid without any set-off, counter-claim, deduction, or stay of execution before delivery of the Goods.

 

(3)貨(huo)方須注(zhu)意所用運(yun)價(jia)本中或另行(xing)議定的(de)關(guan)于(yu)用以支付(fu)運(yun)費的(de)貨(huo)幣、兌換(huan)率、貶值(zhi)率以及關(guan)于(yu)運(yun)費的(de)其他(ta)臨時性的(de)規定。

(3)  The Merchant's attention is drawn to the stipulations concerning currency in which the Freight is to be paid, rate of exchange, devaluation and other contingencies concerning the Freight in the applicable Tariff or as agreed otherwise.

 

(4)如(ru)果由貨(huo)方(fang)或(huo)貨(huo)方(fang)代表(biao)向承運人提供的(de)(de)貨(huo)方(fang)在提單或(huo)任何(he)文件或(huo)證件中對貨(huo)物的(de)(de)描述被證明在任何(he)方(fang)面不(bu)準確、不(bu)正確或(huo)引起誤解,貨(huo)方(fang)應(ying)就承運人因此(ci)而遭受的(de)(de)實際損失(shi)予以(yi)賠償。

(4)  If the Merchant's description of the Goods in this Bill of Lading or in any document or certificate furnished to the Carrier by or on behalf of the Merchant shall prove to have been inaccurate, incorrect or misleading in any respect, the Merchant shall pay for the actual damage suffered by the Carrier.

 

(5)向(xiang)貨運代理(li)人(ren)或經紀人(ren)或任(ren)何除了承運人(ren)或其授權代理(li)人(ren)以外的(de)人(ren)支(zhi)付(fu)(fu)的(de)運費(fei)及費(fei)用,不得(de)被認為系向(xiang)承運人(ren)支(zhi)付(fu)(fu),而應(ying)是在貨方獨自(zi)承擔風(feng)險之(zhi)下支(zhi)付(fu)(fu)。

(5)  Payment of Freight and charges to any freight forwarder or broker, or anyone other than the Carrier or its authorized agent, shall not be considered payment to the Carrier and shall be made at the Merchant's sole risk.

 

 (6)本提單第1條定義中(zhong)作為(wei)貨(huo)方列舉(ju)的(de)各(ge)方,應就向(xiang)承(cheng)運(yun)人支(zhi)付(fu)全(quan)部運(yun)費、滯期費、共(gong)同海損攤款及費用(yong)(yong)、訴訟費包括(kuo)但不限于在催(cui)收積欠承(cheng)運(yun)人的(de)費用(yong)(yong)中(zhong)發(fa)生的(de)合理的(de)律師費,而連帶負責,否則應被(bei)視為(wei)貨(huo)方在支(zhi)付(fu)運(yun)費及費用(yong)(yong)中(zhong)違約。

(6)  The parties defined as Merchants in clause 1 hereof shall, where applicable, be jointly and severally liable to the Carrier for payment of all Freight, demurrage, General Average and charges, including, but not limited to, court costs, expenses and reasonable attorney's fees incurred in collecting sums due the Carrier, failing which shall be considered a default by the Merchant in the payment of Freight and charges.

 

 

14.  INSPECTION OF THE GOODS 檢驗貨(huo)物(wu)

承(cheng)(cheng)運(yun)人(ren)(ren)(ren)及(ji)(或(huo)(huo))承(cheng)(cheng)運(yun)人(ren)(ren)(ren)已就運(yun)輸一事(shi)與其(qi)訂立(li)分立(li)契約的(de)(de)人(ren)(ren)(ren)或(huo)(huo)由(you)承(cheng)(cheng)運(yun)人(ren)(ren)(ren)授(shou)權(quan)的(de)(de)人(ren)(ren)(ren),有權(quan)但無義務在任(ren)何時間開(kai)(kai)啟任(ren)何集裝箱并檢驗(yan)貨物。如果(guo)根據任(ren)一地點的(de)(de)當(dang)局命令(ling),須對某一集裝箱或(huo)(huo)包裝進(jin)行開(kai)(kai)啟,加以檢驗(yan),承(cheng)(cheng)運(yun)人(ren)(ren)(ren)對因(yin)如此開(kai)(kai)箱、開(kai)(kai)包、檢驗(yan)及(ji)重(zhong)新(xin)打(da)(da)包而引起的(de)(de)滅(mie)失(shi)或(huo)(huo)損害(hai)概不負責。承(cheng)(cheng)運(yun)人(ren)(ren)(ren)有權(quan)自貨主(zhu)處收回此項(xiang)開(kai)(kai)箱、開(kai)(kai)包、檢驗(yan)及(ji)重(zhong)新(xin)打(da)(da)包費(fei)用。

The Carrier and/or any person to whom the Carrier has sub-contracted the carriage or any person authorized by the Carrier shall be entitled, but under no obligation, to open any Container or Package at any time and to inspect the Goods. If by order of the Authorities at any place, a container must be opened for inspection, the Carrier shall not be liable for any loss or damage incurred as a result of any opening, unpacking, inspection or repacking. The Carrier shall be entitled to recover the cost of such opening, unpacking, inspection, and repacking from the Merchant.

 

 

15. CARRIAGE AFFECTED BY CONDITION OF THE GOODS 運(yun)輸因貨物條件受到影響

如果不(bu)論何時發現,貨(huo)(huo)物不(bu)能(neng)被安全(quan)而妥(tuo)(tuo)善地進(jin)行(xing)(xing)運(yun)輸(shu)(shu)(shu)(shu)或(huo)(huo)(huo)(huo)繼(ji)續運(yun)輸(shu)(shu)(shu)(shu),或(huo)(huo)(huo)(huo)承運(yun)人(ren)(ren)若不(bu)就貨(huo)(huo)物或(huo)(huo)(huo)(huo)集裝箱(xiang)支付(fu)額外費用(yong)或(huo)(huo)(huo)(huo)采取措施(shi)(shi),便(bian)無法(fa)將貨(huo)(huo)物安全(quan)而妥(tuo)(tuo)善地進(jin)行(xing)(xing)運(yun)輸(shu)(shu)(shu)(shu)或(huo)(huo)(huo)(huo)繼(ji)續運(yun)輸(shu)(shu)(shu)(shu),則承運(yun)人(ren)(ren)可在(zai)其完(wan)全(quan)自行(xing)(xing)決(jue)定而認為最為妥(tuo)(tuo)善的(de)條件之下,不(bu)對貨(huo)(huo)方(fang)進(jin)行(xing)(xing)通知(但僅系作為其代理人(ren)(ren)除外)而采取任(ren)何措施(shi)(shi)并(bing)(或(huo)(huo)(huo)(huo))支付(fu)額外費用(yong),將貨(huo)(huo)物進(jin)行(xing)(xing)運(yun)輸(shu)(shu)(shu)(shu)或(huo)(huo)(huo)(huo)繼(ji)續其運(yun)輸(shu)(shu)(shu)(shu),并(bing)(或(huo)(huo)(huo)(huo))將貨(huo)(huo)物加以處置(zhi),以及(或(huo)(huo)(huo)(huo))放(fang)棄該項(xiang)運(yun)輸(shu)(shu)(shu)(shu)并(bing)(或(huo)(huo)(huo)(huo))將貨(huo)(huo)物在(zai)任(ren)何地點(dian)存(cun)放(fang)岸上或(huo)(huo)(huo)(huo)船(chuan)上,加以遮(zhe)蔽或(huo)(huo)(huo)(huo)置(zhi)于露天之下。此項(xiang)放(fang)棄、存(cun)放(fang)或(huo)(huo)(huo)(huo)放(fang)置(zhi)貨(huo)(huo)物應(ying)視為根(gen)據(ju)本提單所進(jin)行(xing)(xing)的(de)交付(fu)貨(huo)(huo)物。貨(huo)(huo)方(fang)應(ying)賠(pei)償承運(yun)人(ren)(ren)就此發生(sheng)的(de)任(ren)何額外費用(yong)。

If it appears at anytime that the Goods cannot safely or properly be carried or carried further, either at all or without incurring any additional expense or taking any measure(s) in relation to the Goods or the Container, the Carrier may without notice to the Merchant (but as its agent only) take any measure(s) and/or incur any additional expense to carry or to continue the carriage thereof, and/or dispose of the Goods, and/or abandon the carriage and/or store them ashore or afloat, under cover or in the open, at any place, whichever the Carrier in his absolute discretion considers most appropriate, which abandonment, storage or disposal thereof shall be deemed to constitute due delivery under this Bill of Lading. The Merchant shall indemnify the Carrier against any additional expense so incurred.

 

 

16. LIENS  留置權

承(cheng)運人(ren)(ren)(ren)可因運費(fei)(fei)(fei)、虧艙費(fei)(fei)(fei)、滯期費(fei)(fei)(fei)、滯留(liu)以(yi)及承(cheng)運人(ren)(ren)(ren)對(dui)(dui)(dui)有缺陷貨(huo)物(wu)重(zhong)新(xin)綁(bang)扎、重(zhong)新(xin)包(bao)裝(zhuang)、重(zhong)加嘜頭、熏蒸或(huo)進(jin)行所需(xu)的(de)(de)(de)處(chu)置(zhi)而(er)(er)產(chan)生的(de)(de)(de)任(ren)何(he)費(fei)(fei)(fei)用(yong),為不(bu)論何(he)人(ren)(ren)(ren)應(ying)付(fu)的(de)(de)(de)共同海(hai)損攤款(kuan),承(cheng)運人(ren)(ren)(ren)為貨(huo)物(wu)所支付(fu)或(huo)預付(fu)的(de)(de)(de)罰(fa)款(kuan)、捐(juan)稅、通行費(fei)(fei)(fei)、陸上(shang)運費(fei)(fei)(fei)或(huo)傭(yong)金,為根據本提單(dan)而(er)(er)應(ying)付(fu)與(yu)承(cheng)運人(ren)(ren)(ren)的(de)(de)(de)任(ren)何(he)款(kuan)項,包(bao)括救助費(fei)(fei)(fei)用(yong),以(yi)及由于政府當局或(huo)聲稱對(dui)(dui)(dui)貨(huo)物(wu)具(ju)有利益關系的(de)(de)(de)人(ren)(ren)(ren)因扣留(liu)貨(huo)物(wu)或(huo)針對(dui)(dui)(dui)貨(huo)物(wu)提起其他(ta)法(fa)律(lv)訴(su)訟而(er)(er)發生的(de)(de)(de)法(fa)律(lv)費(fei)(fei)(fei)用(yong),而(er)(er)對(dui)(dui)(dui)貨(huo)物(wu)或(huo)與(yu)貨(huo)物(wu)有關的(de)(de)(de)任(ren)何(he)文件(jian)擁有留(liu)置(zhi)權(quan)(quan)(quan)。承(cheng)運人(ren)(ren)(ren)的(de)(de)(de)留(liu)置(zhi)權(quan)(quan)(quan)應(ying)存在至卸貨(huo)或(huo)交貨(huo)之時(shi),而(er)(er)且(qie)承(cheng)運人(ren)(ren)(ren)有權(quan)(quan)(quan)自(zi)行決定(ding)通過公開拍賣或(huo)私人(ren)(ren)(ren)出售(shou)而(er)(er)行使此項留(liu)置(zhi)權(quan)(quan)(quan)。如果出售(shou)價款(kuan)不(bu)敷抵付(fu)所欠(qian)數額,包(bao)括已發生的(de)(de)(de)費(fei)(fei)(fei)用(yong),承(cheng)運人(ren)(ren)(ren)有權(quan)(quan)(quan)自(zi)貨(huo)方收回差額。如此項價款(kuan)多于欠(qian)款(kuan)數額,則(ze)應(ying)將余額退還貨(huo)方。

The Carrier shall have a lien on the Goods and any documents relating thereto for Freight, dead Freight, demurrage, detention, and for any expenses incurred by the Carrier for recoopering, repacking, remarking, fumigation or required disposal of faulty Goods, for General Average contributions to whomsoever due, for fines, dues, tolls, land Freight, or commissions paid or advanced by the Carrier on behalf of the Goods, for any sums including salvage payable to the Carrier under this Bill of Lading and for legal expenses incurred because of any attachment or other legal proceedings brought against the Goods by governmental Authorities or any person claiming an interest in the Goods. The Carrier's lien shall survive discharge or delivery of the Goods and the Carrier shall have the right to enforce such lien by public auction or private sale in its discretion. Shoud the proceeds of sale fail to cover the amount due, including expenses incurred, the Carrier shall be entitled to recover the balance from the Merchant. Should such proceeds exceed the amount due, the balance shall be returned to the Merchant.

 

 

17. DECK CARGO, ANIMALS AND PLANTS 艙面貨、牲(sheng)畜及植物

在(zai)本提單正面注明(ming)(ming)為約定(ding)裝(zhuang)于艙面上(shang)且(qie)已照裝(zhuang)的貨(huo)物(wu)(裝(zhuang)入集裝(zhuang)箱的貨(huo)物(wu)除外),以及所有活牲(sheng)畜包(bao)括魚(yu)及鳥類或植物(wu),應(ying)一概(gai)由(you)貨(huo)方(fang)承(cheng)擔(dan)風險而(er)進行(xing)運(yun)輸(shu),而(er)承(cheng)運(yun)人(ren)(ren)(ren)對(dui)在(zai)海上(shang)運(yun)輸(shu)中(zhong)發生的不(bu)論是(shi)否由(you)于承(cheng)運(yun)人(ren)(ren)(ren)的疏忽(hu)而(er)引起的無論任何(he)性質的滅失或損(sun)害概(gai)不(bu)負責。承(cheng)運(yun)人(ren)(ren)(ren)應(ying)負責證明(ming)(ming),他已履(lv)行(xing)貨(huo)方(fang)關于運(yun)輸(shu)活牲(sheng)畜的特(te)殊要求(qiu),而(er)且(qie)在(zai)海上(shang)運(yun)輸(shu)的環境(jing)下(xia),

所(suo)發生(sheng)的滅失或損害(hai)乃(nai)是(shi)由于(yu)海上運(yun)(yun)輸所(suo)固有(you)的風險所(suo)致。貨方應(ying)就承運(yun)(yun)人(ren)因涉及(ji)運(yun)(yun)輸此項活牲(sheng)畜或植物而不論由于(yu)任何(he)原因所(suo)發生(sheng)的全部或任何(he)額外費用,給(gei)予承運(yun)(yun)人(ren)以賠償。

Goods (other than Goods stuffed in Containers) that are stated on the front of this Bill of Lading as contracted to be stowed "on deck" and are so carried, and all live animals, including fish and birds, or plants shipped hereunder, shall be carried solely at the risk of the Merchant, and the Carrier shall not be liable for any loss or damage of whatsoever nature arising during carriage by sea whether or not arising out of negligence on the part of the Carrier. The Carrier shall be bound to prove that he has fulfilled the special requirements of the Merchant with regard to the carriage of the live animals and that under the circumstances of the sea carriage, the loss or damage has occurred due to the special risks inherent therein. The Merchant shall indemnify the Carrier against all or any extra costs incurred for any reason whatsoever in connection with the carriage of such live animals or plants.

 

 

18.  METHODS AND ROUTES OF CARRIAGE  運輸方式及路線(xian)

承運人可在(zai)運輸中的任何時間:The Carrier may at any time during the carriage:

(1) 使用(yong)任(ren)何運輸方(fang)式或儲存方(fang)式;use any means of transport or storage whatsoever;

 

(2)將貨物(wu)自一種運(yun)輸(shu)(shu)工(gong)具(ju)轉(zhuan)至(zhi)另一種運(yun)輸(shu)(shu)工(gong)具(ju),包(bao)括轉(zhuan)船或以(yi)不同于提單正面(mian)所載船名(ming)的另一艘船舶(bo)或以(yi)任何其他運(yun)輸(shu)(shu)方式(shi)運(yun)輸(shu)(shu)。

凡根據本條款而作出的不(bu)論何(he)事(shi)或(huo)產生的任何(he)延誤,都(dou)應(ying)視為在該項(xiang)運(yun)輸之(zhi)內,而非繞航。

(2) transfer the Goods from one conveyance to another including transshipment or carrying the same on another Vessel other than the Vessel named on the front of this Bill of Lading or by any other means of transport whatsoever.

Anything done in accordance with this Clause or any delay arising therefrom shall be deemed to be within the scope of the carriage and shall not be a deviation.

 

19.  MATTERS AFFECTING PERFORMANCE  影響(xiang)履約的事項

如在(zai)任何時(shi)間(jian),運(yun)輸(shu)一事受到(dao)或(huo)按船(chuan)長(chang)判斷容(rong)易(yi)受到(dao)除了屬于(yu)貨物的不能(neng)被安全地或(huo)妥當(dang)地運(yun)輸(shu)或(huo)繼續運(yun)輸(shu)的情況外的任何障礙、風險、延(yan)誤、困難或(huo)不利(li)條件的影(ying)響,而且不論系如何產(chan)生(即使引起上述各項的客觀(guan)環境在(zai)本契(qi)約訂(ding)立時(shi)或(huo)貨物被接受以(yi)備裝運(yun)時(shi)已經存在(zai)),承(cheng)運(yun)人(無論運(yun)輸(shu)是否已開始)均可(ke)不經事先通知貨方而完全自行決定(ding):

If at any time the carriage is or is likely in the judgment of the Master to be affected by any hindrance, risk, delay, difficulty or disadvantage of any kind, other than the inability of the Goods to be safely or properly carried or carried further, and howsoever arising (even though the circumstances giving rise to such matters as stated above existed at the time this contract was entered into or the Goods were received for shipment), the Carrier (whether or not the carriage is commenced) may, at his sole discretion and without prior notice to the Merchant:

 

(1)將貨(huo)物經(jing)本提單所(suo)列以(yi)外(wai)的(de)(de)或為(wei)將貨(huo)物托運(yun)(yun)(yun)至卸(xie)貨(huo)港或交(jiao)貨(huo)地的(de)(de)通(tong)常運(yun)(yun)(yun)輸路線(xian)以(yi)外(wai)的(de)(de)航線(xian)運(yun)(yun)(yun)往(wang)約訂的(de)(de)卸(xie)貨(huo)港或交(jiao)貨(huo)地,二者(zhe)之(zhi)中以(yi)能適用者(zhe)為(wei)準(zhun)。如果(guo)承(cheng)(cheng)運(yun)(yun)(yun)人選定(ding)采用本項規定(ding),則(ze)雖有本提單第(di)18款所(suo)載條文,承(cheng)(cheng)運(yun)(yun)(yun)人仍有權收取其所(suo)決定(ding)的(de)(de)額外(wai)運(yun)(yun)(yun)費,或者(zhe)

(1) carry the Goods to the contracted Port of Discharge or Place of Delivery, whichever is applicable, by an alternative route from that indicated in this Bill of Lading or from that which is customary for Goods consigned to that Port of Discharge or Place of Delivery. If the Carrier elects to invoke the terms of this sub-Clause, then, notwithstanding the provisions of Clause 18 hereof, the Carrier shall be entitled to charge such additional Freight as the Carrier may determine, or

(2) suspend the carriage of the Goods and store them ashore or afloat upon the terms of this Bill of Lading and endeavor to forward them as soon as possible, but the Carrier makes no representation as to the maximum period of suspension. If the Carrier elects to invoke the terms of this sub-Clause, then the Carrier shall be entitled to the payment of such additional Freight as the Carrier may determine, or

(3) abandon the carriage of the Goods and place the Goods at the Merchant's disposal at any port or place where the Carrier may deem safe and convenient, whereupon the responsibility of the Carrier in respect of such Goods shall entirely cease. The Carrier shall nevertheless be entitled to full Freight on the Goods received for shipment, and the Merchant shall pay any additional costs of the carriage to, and delivery and storage at such port or place.

 

如果(guo)承運人決定采用第(di)19(1)款所述(shu)替代航(hang)線,或按(an)第(di)19(2)款所述(shu)中斷航(hang)行,此(ci)事并(bing)不影響其在以后放(fang)棄航(hang)次之(zhi)權利。

Where the Carrier elects to use an alternative route under Clause 19(1) or to suspend the carriage under Clause 19(2), same shall not prejudice its right subsequently to abandon the carriage.

 

 

20.  DANGEROUS GOODS 危險貨物

運輸(shu)危險貨物時,貨方(fang)(fang)應(ying)按運輸(shu)此種貨物所(suo)應(ying)遵守(shou)的規定,將(jiang)其(qi)妥為包(bao)裝,清晰標注,加(jia)附貨簽,并(bing)將(jiang)其(qi)正確品名(ming)、性質以及(ji)所(suo)應(ying)采取(qu)的預防措施以書面(mian)通知(zhi)承運人(ren)(ren)。如貨方(fang)(fang)未(wei)能通知(zhi)或(huo)(huo)通知(zhi)有誤,則承運人(ren)(ren)可在客觀環境(jing)有此需要(yao)時將(jiang)該(gai)項(xiang)貨物卸(xie)下、銷毀或(huo)(huo)使之不能為害,而不予賠(pei)償。貨方(fang)(fang)應(ying)就裝運此項(xiang)貨物所(suo)造成的任(ren)何滅失(shi)、損害或(huo)(huo)費(fei)用對(dui)承運人(ren)(ren)承擔責(ze)任(ren)。

At the time of shipment of Dangerous Goods, the Merchant shall, in compliance with the regulations governing the carriage of such Goods, have the same properly packed, distinctly marked and labeled and notify the Carrier in writing of their proper description, nature and the precautions to be taken. In case the Merchant fails to or inaccurately notifies the Carrier, the Carrier may have such Goods landed, destroyed or rendered innocuous when and where circumstances so require, without compensation. The Merchant shall be liable to the Carrier for any loss, damage or expense resulting from such shipment.

 

盡管承(cheng)運人知曉危險貨物的性(xing)質并已同(tong)意(yi)裝運,承(cheng)運人仍可在(zai)該危險貨物對船(chuan)舶、船(chuan)員(yuan)(yuan)及船(chuan)上其(qi)他(ta)人員(yuan)(yuan)或其(qi)他(ta)貨物構成(cheng)實(shi)際危險時,將其(qi)卸(xie)下(xia)、銷(xiao)毀或使之無害而不(bu)予賠償。但(dan)本款所述不(bu)得影響對共同(tong)海損(sun)的分攤。

Notwithstanding the Carrier's knowledge of the nature of the Dangerous Goods and its consent to carry, the Carrier may still have such Goods landed, destroyed or rendered innocuous, without compensation, when they become an actual danger to the Vessel, the crew and other persons on board or to other goods. However, what mentioned in this Clause shall not prejudice the contribution in General Average, if any.

 

 

21.  SPECIAL, REFRIGERATED OR HEATED CONTAINERS  特殊、冷藏或加熱集裝箱

(1)除非貨(huo)方同承運(yun)人(ren)在(zai)貨(huo)物裝(zhuang)運(yun)之前達成書(shu)面協議(yi)(yi),需要特殊通(tong)(tong)風冷藏或(huo)加熱集裝(zhuang)箱(xiang)運(yun)輸貨(huo)物,而(er)且此項(xiang)特殊協議(yi)(yi)已在(zai)提單正面注(zhu)明(ming),并且貨(huo)方已事先正確地向(xiang)承運(yun)人(ren)提出(chu)關于貨(huo)物性質以(yi)及所(suo)需保持的(de)特定溫度(du)及(或(huo))所(suo)需盡到的(de)特殊注(zhu)意(yi)的(de)妥(tuo)善書(shu)面通(tong)(tong)知,而(er)且貨(huo)方已按(an)承運(yun)人(ren)運(yun)價本規定或(huo)按(an)商定辦法(fa)支(zhi)付(fu)額外運(yun)費(fei),此項(xiang)貨(huo)物便應以(yi)普通(tong)(tong)的(de)不(bu)通(tong)(tong)風集裝(zhuang)箱(xiang)裝(zhuang)運(yun)。

(1) Unless the Merchant and the Carrier agree in writing before shipment that specially ventilated, refrigerated or heated Containers will be used to ship the Goods and such agreement is noted on the front of this Bill of Lading, and the Merchant gives proper written notice to the Carrier of the nature of the Goods and of the particular temperature range to be maintained and/or special attention required and the Merchant pays the extra Freight charged under the Carrier's Tariff or as agreed, the Goods shall be carried in ordinary unventilated Containers.

 

(2)如系由(you)貨(huo)(huo)方或(huo)貨(huo)(huo)方代表裝(zhuang)箱的(de)冷藏集(ji)(ji)裝(zhuang)箱,則(ze)貨(huo)(huo)方保證已由(you)其將恒溫、通風或(huo)其他控制裝(zhuang)置正確設定,而(er)且在(zai)裝(zhuang)箱前已將貨(huo)(huo)物(wu)(wu)的(de)溫度以及集(ji)(ji)裝(zhuang)箱的(de)溫度調至所需程度,并且在(zai)承(cheng)運(yun)人(ren)接受貨(huo)(huo)物(wu)(wu)之前已將貨(huo)(huo)物(wu)(wu)在(zai)集(ji)(ji)裝(zhuang)箱內積載妥善。如果這些要求未能完全做到,承(cheng)運(yun)人(ren)對無(wu)論如何(he)發生的(de)貨(huo)(huo)物(wu)(wu)的(de)任何(he)滅失或(huo)損害便不負責。

(2) In case of a refrigerated Container stuffed by or on behalf of the Merchant, the Merchant undertakes that its thermostatic, ventilating or any other controls have been correctly set by the Merchant and that the temperature of the Goods and the refrigerated Container has been brought to the required temperature level before stuffing and that the Goods have been properly stowed in the Container before the receipt thereof by the Carrier. If these requirements are not fully met, the Carrier shall not be liable for any loss of or damage to the Goods howsoever arising.

 

(3)貨方(fang)在承運人(ren)的(de)集裝箱在貨方(fang)或代表(biao)貨方(fang)行事(shi)之任何人(ren)看管(guan)之時,應對(dui)集裝箱的(de)操(cao)作(zuo)及維護一(yi)事(shi)負責。

(3)  The Merchant shall be responsible for the operation and maintenance of the Carrier's Container while it is in the Merchant's custody or the custody of anyone acting on the Merchant's behalf.

 

(4)如已將建議的溫度在(zai)(zai)提單正面注明,貨方便(bian)應按此項(xiang)注明的溫度增(zeng)加或減少2攝氏度的標準,向承(cheng)運人交貨,承(cheng)運人則應克盡職責,在(zai)(zai)貨物在(zai)(zai)其實際看管之時保持該項(xiang)溫度,并可增(zeng)減2攝氏度。

(4) If a suggested temperature is noted on the front of this Bill of Lading, the Merchant shall deliver the Goods to the Carrier at the noted temperature plus or minus 2℃ permitted, and the Carrier shall exercise due diligence to maintain such temperature, plus or minus 2℃ while the Goods are in its actual possession.

 

(5)承運(yun)(yun)人并(bing)不(bu)保(bao)證在運(yun)(yun)輸(shu)全程集(ji)(ji)裝(zhuang)箱已妥為通風、制冷(leng)或(huo)加(jia)熱。承運(yun)(yun)人對因集(ji)(ji)裝(zhuang)箱、船(chuan)舶、運(yun)(yun)輸(shu)工具及任(ren)何(he)其他(ta)設(she)備的制冷(leng)裝(zhuang)置、機器、絕緣及(或(huo))任(ren)何(he)或(huo)其他(ta)設(she)備的潛在缺陷(xian)、全部或(huo)部分失(shi)靈或(huo)發生故障(zhang)或(huo)停止運(yun)(yun)轉而造成貨物的任(ren)何(he)滅失(shi)或(huo)損(sun)害,亦不(bu)負(fu)責(ze)。但承運(yun)(yun)人應在進行(xing)運(yun)(yun)輸(shu)之前或(huo)運(yun)(yun)輸(shu)開(kai)始當(dang)時克盡職責(ze),將(jiang)冷(leng)藏集(ji)(ji)裝(zhuang)箱保(bao)持在有效狀態。

(5) The Carrier does not warrant that the Container be properly ventilated, refrigerated or heated throughout the carriage, nor shall the Carrier be liable for any loss of or damage to the Goods arising from any latent defects, any total or partial failure or breakdown, or stoppage of the refrigerating machinery, plant, insulation and/or any apparatus of the Container, Vessel, conveyance and any other facilities, provided that the Carrier shall before or at the beginning of the carriage exercise due diligence to maintain the refrigerated Container in an efficient state.

 

(6)如屬貨方自己的(de)集(ji)裝箱,則應由(you)貨方提(ti)供緊(jin)急(ji)用具箱及(ji)操作手冊。

(6) In case of the Merchant's own Container, a set of emergency kit and an operation manual shall be supplied by the Merchant.

 

 

22.  NOTIFICATION AND DELIVERY 通知(zhi)及交付

(1)本(ben)提單所載關于應將貨(huo)物到達一事通知(zhi)有關方的敘述,完全(quan)是為使承運(yun)人(ren)了(le)解(jie)(jie)情況,若(ruo)未能發出(chu)此項通知(zhi)時,并(bing)不得(de)引(yin)起承運(yun)人(ren)承擔任何責任或(huo)解(jie)(jie)除(chu)貨(huo)方根據本(ben)提單所應承擔的任何義務。

(1) Any mention herein of parties to be notified of the arrival of the Goods is solely for information of the Carrier, and failure to give such notification shall not give rise to any liability on the part of the Carrier or relieve the Merchant of any obligation hereunder.

 

(2)貨(huo)方應(ying)在承運(yun)人所用運(yun)價本中規定(ding)的時間(jian)之(zhi)內(nei)或按承運(yun)人要(yao)求(qiu)提(ti)貨(huo)。

(2) The Merchant shall take delivery of the Goods within the time provided for in the Carrier's applicable Tariff or as required by the Carrier.

 

(3)如(ru)果貨(huo)(huo)(huo)方(fang)(fang)(fang)未在(zai)合理的(de)時(shi)(shi)間內提取貨(huo)(huo)(huo)物(wu),或(huo)者只要承運(yun)人(ren)(ren)認為該貨(huo)(huo)(huo)可(ke)能腐(fu)壞(huai)、變質、無(wu)價(jia)值可(ke)言,或(huo)在(zai)將其(qi)存儲或(huo)做其(qi)他處置時(shi)(shi)其(qi)所需費(fei)用(yong)將超(chao)出該貨(huo)(huo)(huo)價(jia)值,承運(yun)人(ren)(ren)便可(ke)自(zi)行決定,在(zai)不影響承運(yun)人(ren)(ren)對貨(huo)(huo)(huo)方(fang)(fang)(fang)的(de)權利,不予(yu)通知(zhi)而(er)且(qie)在(zai)不對承運(yun)人(ren)(ren)加(jia)諸任(ren)(ren)何責(ze)任(ren)(ren)的(de)情(qing)況下,將箱中貨(huo)(huo)(huo)物(wu)取出、出售、銷(xiao)毀(hui)或(huo)加(jia)以處置,而(er)由貨(huo)(huo)(huo)方(fang)(fang)(fang)承擔全部風險及(ji)費(fei)用(yong),并(bing)將貨(huo)(huo)(huo)物(wu)價(jia)款(kuan)用(yong)于扣減貨(huo)(huo)(huo)方(fang)(fang)(fang)結欠承運(yun)人(ren)(ren)的(de)款(kuan)項(xiang)。上述開箱出貨(huo)(huo)(huo)應當構(gou)成根據本提單所進行的(de)正式交貨(huo)(huo)(huo),至此,承運(yun)人(ren)(ren)就(jiu)貨(huo)(huo)(huo)物(wu)而(er)言的(de)一(yi)切責(ze)任(ren)(ren)均告(gao)終止(zhi)。

(3) If the Merchant fails to take delivery of the Goods during a reasonable time or whenever in the opinion of the Carrier the Goods are likely to deteriorate, decay, become worthless or incur charges whether for storage or otherwise in excess of their value, the Carrier may, at its discretion, without prejudice to any rights which he may have against the Merchant, without notice and without any responsibility whatsoever attaching to him, unstuff, sell, destroy or dispose of the Goods at the sole risk and expense of the Merchant, and apply any proceeds of sale in reduction of the sums due to the Carrier from the Merchant. The aforesaid unstuffing shall constitute due delivery hereunder and thereupon all liability whatsoever of the Carrier in respect of the Goods thereof shall cease.

 

(4)承運人被責成將(jiang)其所運貨(huo)(huo)物(wu)交由卸(xie)貨(huo)(huo)港(gang)或(huo)交貨(huo)(huo)地(di)的(de)港(gang)口、海關或(huo)其他(ta)當局看管(guan),該(gai)貨(huo)(huo)即(ji)由其交與貨(huo)(huo)主,而無(wu)需按當地(di)法律、規章及(或(huo))慣(guan)例要求由貨(huo)(huo)主出示本提(ti)單,這種移交貨(huo)(huo)便應構成根據本提(ti)單向(xiang)貨(huo)(huo)方正式交貨(huo)(huo)。至此,承運人對貨(huo)(huo)物(wu)的(de)責任即(ji)完全終止。

(4) Where the Carrier is obliged to hand over the Goods so carried into the custody of the port, customs or any other Authorities at the Port of Discharge or Place of Delivery and the Goods are delivered by the same to the Merchant without necessity of production of this Bill of Lading by the Merchant as required by the local law, regulation and/or practice, such hand-over shall constitute due delivery to the Merchant under this Bill of Lading and there-upon the liability of the Carrier in respect of the Goods shall entirely cease.

 

(5)盡管已將貨(huo)物即可提取(qu)一(yi)(yi)事(shi)通(tong)知貨(huo)方,但貨(huo)方卻拒(ju)不按本款(kuan)要求提貨(huo)時,這(zhe)便構成(cheng)貨(huo)方就承運(yun)人(ren)而言關于貨(huo)物或運(yun)輸一(yi)(yi)事(shi)的(de)一(yi)(yi)切權(quan)利(li)要求事(shi)項的(de)無可改變的(de)放棄。貨(huo)方應就承運(yun)人(ren)因(yin)此項拒(ju)絕(jue)而遭受的(de)任(ren)何滅失、損害、費用及責(ze)任(ren)承擔責(ze)任(ren),包(bao)括但不限于將貨(huo)物運(yun)回(hui)原(yuan)起運(yun)地。

(5) Refusal by the Merchant to take delivery of the Goods in accordance with the terms of this Clause, notwithstanding its having been notified of the availability of the Goods for delivery, shall constitute an irrevocable waiver by the Merchant to the Carrier of all and any claims whatsoever relating to the Goods or the Carriage. The Merchant shall be liable for any losses, damages, expenses and liabilities incurred and sustained by the Carrier arising from such refusal, including but not limited to, the return of the Goods to their place of origin.

 

 

23.  GENERAL AVERAGE AND SALVAGE  共同海損及救助

(1)共同海損應在(zai)承(cheng)運(yun)人選定的(de)港口或地點按1990年及(ji)其他(ta)修正案修訂(ding)的(de)1974年約(yue)克•安特衛普規則理算。貨方(fang)應在(zai)提貨前(qian)繳付承(cheng)運(yun)人認為足以支付預(yu)計貨方(fang)應交共同海損攤款數額(e)的(de)備用金或其他(ta)擔保。

(1) General Average shall be adjusted at any port or place at the Carrier's option according to the York-Antwerp Rules 1974, as amended in 1990, and any other amendments thereto. The Merchant shall give such cash deposit or other security as the Carrier may deem sufficient to cover the estimated General Average contribution of the Goods before delivery.

 

(2)如果(guo)船(chuan)長(chang)認為需要救(jiu)(jiu)助服(fu)務,貨方(fang)同意船(chuan)長(chang)代表貨方(fang)取得對(dui)貨物的(de)此(ci)項服(fu)務,承(cheng)運人則(ze)可(ke)以其本人身份(fen)結算救(jiu)(jiu)助報酬。貨方(fang)應(ying)向(xiang)救(jiu)(jiu)助方(fang)及時并充足提供備(bei)用金或其他擔(dan)保而不得使船(chuan)期在救(jiu)(jiu)助后(hou)受到(dao)影響(xiang),否則(ze),貨方(fang)應(ying)對(dui)由(you)此(ci)產生的(de)由(you)承(cheng)運人遭受的(de)一(yi)切(qie)損失承(cheng)擔(dan)責任(ren)。

本條規定了(le)在發生共同(tong)(tong)海(hai)損的(de)情況(kuang)下如何(he)進行共同(tong)(tong)海(hai)損的(de)理算以及(ji)貨(huo)(huo)方提貨(huo)(huo)時向(xiang)承運人提供擔保(bao)的(de)義(yi)務。本提單(dan)規定共同(tong)(tong)海(hai)損的(de)理算使用1990年(nian)及(ji)其他修正案修訂的(de)1974年(nian)約克•安特衛普規則(ze),約克•安特衛普規則(ze)是國際上通行的(de)共同(tong)(tong)海(hai)損理算依據的(de)慣例(li),得到了(le)貨(huo)(huo)方、船方、保(bao)險人等各(ge)方面(mian)的(de)認(ren)可。

(2) In the event of the Master considering that salvage services are needed, the Merchant agrees that the Master shall act on its behalf to procure such services to Goods and that the Carrier may act on its behalf to settle salvage remuneration. The Merchant shall timely and fully provide cash deposit or other security to the salvor without affecting the schedule of the Vessel after the salvage, failing which the Merchant shall be liable for any losses arising therefrom and sustained by the Carrier.

 

第二款明確了船長有代表(biao)貨(huo)方決定(ding)是否安(an)(an)(an)排救(jiu)助(zhu)及選擇(ze)救(jiu)助(zhu)方的權利,在遭遇到海(hai)上風險時(shi),船長最清楚當時(shi)的情況以及應(ying)(ying)采取的合理(li)避險措(cuo)施(shi),為(wei)了船貨(huo)的共同安(an)(an)(an)全,這種規定(ding)是十(shi)分必要的。在安(an)(an)(an)排救(jiu)助(zhu)后,貨(huo)方應(ying)(ying)就自己的份額向(xiang)救(jiu)助(zhu)方提供(gong)擔保或備用金已成為(wei)國(guo)際通行的作法。

 

24.  BOTH-TO-BLAME COLLISION  雙方(fang)有責碰(peng)撞條款

由波羅的海國際航運公會(hui)現時公布(bu)的雙方有責碰撞條款應(ying)視為(wei)已被載入本(ben)提單。

The Both-to-blame Collision Clause currently published by the Baltic and International Maritime Conference is deemed to be incorporated into this Bill of Lading.

 

 

25.  NON-VESSEL-OPERATING COMMON CARRIERS 

如(ru)果本(ben)(ben)提(ti)單被(bei)以無船(chuan)承(cheng)運(yun)(yun)(yun)人身份行事(shi)的(de)(de)貨方所接受,而(er)(er)(er)該(gai)(gai)人又(you)轉而(er)(er)(er)與(yu)第三(san)方訂立(li)(li)其他(ta)運(yun)(yun)(yun)輸契(qi)約(yue),則該(gai)(gai)無船(chuan)承(cheng)運(yun)(yun)(yun)人保證(zheng),由他(ta)簽訂的(de)(de)受本(ben)(ben)提(ti)單制約(yue)的(de)(de)關于貨物的(de)(de)契(qi)約(yue)中應載(zai)有本(ben)(ben)提(ti)單的(de)(de)條款(kuan)及條件。無船(chuan)承(cheng)運(yun)(yun)(yun)人進一步保證(zheng),就其未能(neng)如(ru)此載(zai)入本(ben)(ben)提(ti)單而(er)(er)(er)引起的(de)(de)一切(qie)后果給予(yu)承(cheng)運(yun)(yun)(yun)人、其受雇人、代理人及分(fen)立(li)(li)契(qi)約(yue)人以賠償(chang)。

If this Bill of Lading is accepted by a Merchant acting as a non-vessel-operating common carrier (NVOCC), who has in turn concluded other contracts of carriage with third parties, the NVOCC hereby warrants that the contracts concluded by him in respect of the Goods subject to this Bill of Lading shall incorporate the terms and conditions of this Bill of Lading. The NVOCC further warrants to indemnify the Carrier, its servants, agents and Sub-contractors against all consequences of his failure to do so.

 

26.  LAW AND JURISDICTION  法(fa)律及(ji)管轄權

(1)本(ben)提單(dan)受中華人民(min)共(gong)和(he)(he)國(guo)法律管轄。本(ben)提單(dan)項下或與本(ben)提單(dan)有關的(de)一切爭議(yi),均應根據中華人民(min)共(gong)和(he)(he)國(guo)的(de)法律加以裁(cai)定;凡是針(zhen)對承(cheng)運人的(de)任何訴訟,均應提交上(shang)海(hai)海(hai)事(shi)(shi)法院或中華人民(min)共(gong)和(he)(he)國(guo)其他海(hai)事(shi)(shi)法院。

(1) This Bill of Lading is governed by the laws of the People's Republic of China. All disputes arising under or in connection with this Bill of Lading shall be determined by the laws of the People's Republic of China and any action against the Carrier shall be brought before the Shanghai Maritime Court or other maritime courts in the People's Republic of China, as the case may be.

 

(2)雖(sui)有第26(1)條中的規定(ding),當某項運(yun)(yun)(yun)輸業務(wu)包含駛往或來自(zi)或經由美利(li)堅合眾國的某一(yi)港口或地點的運(yun)(yun)(yun)輸時,本提單(dan)便應受美國海上(shang)貨(huo)(huo)(huo)(huo)物(wu)(wu)(wu)運(yun)(yun)(yun)輸法的規定(ding)的約束,而(er)(er)該法應被視為已載入本提單(dan),而(er)(er)本提單(dan)中所載任何內(nei)容均不得(de)視為承運(yun)(yun)(yun)人(ren)對其根(gen)據美國海上(shang)貨(huo)(huo)(huo)(huo)物(wu)(wu)(wu)運(yun)(yun)(yun)輸法而(er)(er)享有的任何權利(li)、豁免(mian)、除(chu)外或限制的放棄,或其義務(wu)的任何增加。除(chu)另有規定(ding)外,以上(shang)所提及的美國海上(shang)貨(huo)(huo)(huo)(huo)物(wu)(wu)(wu)運(yun)(yun)(yun)輸法同樣適(shi)用于在貨(huo)(huo)(huo)(huo)物(wu)(wu)(wu)裝前卸后承運(yun)(yun)(yun)人(ren)掌(zhang)管貨(huo)(huo)(huo)(huo)物(wu)(wu)(wu)的期間。

(2) Notwithstanding the provision of Clause 26(1), where carriage includes carriage to or from or through a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of the US COGSA, which shall be deemed to have been incorporated herein and nothing herein contained shall be deemed a surrender by the Carrier of any of its rights, immunities, exceptions or limitations or an increase of any of its liabilities under US COGSA. The provision cited in the COGSA(except as may be otherwise specifically provided herein) shall also govern before loading and after discharging as long as the goods remain in the Carrier's custody of control.

 

27.  VARIATION OF THE CONTRACT  契約的變更

承運人(ren)(ren)的任何受(shou)雇(gu)人(ren)(ren)、代理人(ren)(ren)或(huo)分立契約人(ren)(ren)一概無權(quan)(quan)放棄或(huo)變(bian)更本提單任何條(tiao)款(kuan),除(chu)非該項放棄或(huo)變(bian)更系采用書面方式并已經承運人(ren)(ren)以書面專門(men)授權(quan)(quan)或(huo)批準(zhun)。

No servant, agent or Sub-contractor of the Carrier shall have the power to waive or vary any terms of this Bill of lading unless such waiver or variation is in writing and is specifically authorized or approved in writing by the Carrier.

 

 

28.  NEW JASON CLAUSE 新杰(jie)遜條款

如在航次開始之前或(huo)之后(hou),由于(yu)(yu)不(bu)論是疏忽與否的(de)任何原(yuan)因而引起意外、危險、損害(hai)或(huo)災難(nan),而根(gen)據法令(ling)、契約或(huo)其他規定,承運(yun)人對此類事件的(de)后(hou)果(guo)都不(bu)負責,則貨物及(ji)貨方應(ying)連(lian)帶在共同海(hai)損中(zhong)與承運(yun)人一(yi)起分擔可(ke)能構成或(huo)可(ke)能發生的(de)屬于(yu)(yu)共同海(hai)損性(xing)質的(de)犧牲、損失或(huo)費用,并應(ying)支付就貨物而發生的(de)救(jiu)助(zhu)費用及(ji)特殊費用。如果(guo)救(jiu)助(zhu)船(chuan)(chuan)舶為(wei)承運(yun)人所有或(huo)由其經營,則救(jiu)助(zhu)費用應(ying)當猶如該(gai)船(chuan)(chuan)屬于(yu)(yu)無(wu)關之人一(yi)樣(yang),全額支付。

In the event of accident, danger, damage or disaster before or after the commencement of the voyage resulting from any cause whatsoever, whether due to negligence or not, for which, or for the consequences of which, the Carrier is not responsible by statute, contract or otherwise, the Goods and the Merchant jointly and severally shall contribute with the Carrier in General Average to the payment of any sacrifices, losses or expenses of a General Average nature that may be made or incurred and shall pay salvage and special charges incurred in respect of the Goods. If a salving ship is owned or operated by the Carrier, salvage shall be paid for as fully as if the salving ship belonged to strangers.

The following clauses are applicable only when document used as a Sea Waybill

 

 

29.收貨人或(huo)其授(shou)(shou)權(quan)(quan)的人可(ke)憑(ping)(ping)交(jiao)貨憑(ping)(ping)證(zheng)或(huo)其它身份證(zheng)明提(ti)(ti)取(qu)貨物,而無須向(xiang)承運人提(ti)(ti)交(jiao)海運單,承運人有絕對的自主權(quan)(quan)決定(ding)是否將(jiang)貨物交(jiao)付給收貨人授(shou)(shou)權(quan)(quan)的人。

29.  Delivery will be made to the consignee or his authorized representative upon presentation of a delivery receipt or other evidence of identity and authorization satisfactory to the Carrier in his sole and absolute discretion without the need of producing or surrendering a copy of his Sea Waybill.

 

 

30.除本(ben)海(hai)運(yun)(yun)單(dan)另有(you)(you)規定外(wai),承(cheng)運(yun)(yun)人現行的(de)(de)(de)聯運(yun)(yun)提單(dan)的(de)(de)(de)條款(kuan)和條件適用于本(ben)海(hai)運(yun)(yun)單(dan)所(suo)證(zheng)明的(de)(de)(de)運(yun)(yun)輸合同,貨(huo)方(fang)可向承(cheng)運(yun)(yun)人或(huo)其(qi)代理(li)索取該提單(dan)。發貨(huo)人保(bao)證(zheng)其(qi)有(you)(you)權(quan)代表收貨(huo)人及貨(huo)物所(suo)有(you)(you)人接受(shou)所(suo)有(you)(you)上述條款(kuan)和條件,包括但不限(xian)于聯運(yun)(yun)提單(dan) 中載(zai)明的(de)(de)(de)關于每件的(de)(de)(de)責(ze)任(ren)限(xian)制(zhi)和其(qi)它責(ze)任(ren)限(xian)制(zhi)的(de)(de)(de)規定。

30.  Except as provided in this Sea Waybill, the contract of carriage evidenced by this Sea Waybill is subject to the terms and conditions of the Carrier's current Combined Transport Bill of Lading, a copy of which may be obtained from the Carrier and its agent. The Shipper accepts all said terms and conditions, including but not limited to the per package and other limitations of liability contained therein, on behalf of the Consignee and the Owner of the Goods and warrants that he has authority to do so.

 

 

31.當(dang)收貨(huo)(huo)(huo)人(ren)或(huo)其(qi)(qi)他(ta)要(yao)求(qiu)(qiu)提(ti)取貨(huo)(huo)(huo)物的(de)(de)人(ren)提(ti)交本(ben)海運(yun)(yun)(yun)單或(huo)以其(qi)(qi)他(ta)方(fang)式要(yao)求(qiu)(qiu)提(ti)取貨(huo)(huo)(huo)物時,收貨(huo)(huo)(huo)人(ren)或(huo)其(qi)(qi)他(ta)要(yao)求(qiu)(qiu)提(ti)貨(huo)(huo)(huo)的(de)(de)應當(dang)承(cheng)(cheng)(cheng)擔(dan)(dan)(dan)發貨(huo)(huo)(huo)人(ren)按照(zhao)本(ben)海運(yun)(yun)(yun)單和承(cheng)(cheng)(cheng)運(yun)(yun)(yun)人(ren)現行的(de)(de)聯運(yun)(yun)(yun)提(ti)單中需承(cheng)(cheng)(cheng)擔(dan)(dan)(dan)的(de)(de)所(suo)(suo)有責(ze)任(ren)。收貨(huo)(huo)(huo)人(ren)或(huo)其(qi)(qi)他(ta)要(yao)求(qiu)(qiu)提(ti)取貨(huo)(huo)(huo)物依本(ben)條所(suo)(suo)承(cheng)(cheng)(cheng)擔(dan)(dan)(dan)的(de)(de)是附加責(ze)任(ren),不影響發貨(huo)(huo)(huo)人(ren)本(ben)人(ren)所(suo)(suo)應承(cheng)(cheng)(cheng)擔(dan)(dan)(dan)的(de)(de)責(ze)任(ren)。

31.  The consignee or other receiver of the Goods, by presenting this Sea Waybill and/or requesting delivery of the Goods, undertakes all liabilities of the Shipper under this Sea Waybill and the Carrier's current Combined Transport Bill of Lading, such undertaking being additional and without prejudice to the Shipper's own liability.

32.  The shipper agrees and observes the CMI Uniform Rules for Sea Waybill for the purpose of using the Carrier's Sea Waybill in cargo transportation.

 

33. 在(zai)船舶抵(di)達卸(xie)貨港或交貨地以前,如發貨人書面要求將(jiang)海(hai)運單改為承運人提單,在(zai)可能(neng)的情況下(xia),承運人將(jiang)盡最大(da)努力進行更改,但承運人在(zai)任何情況下(xia)均不對未(wei)能(neng)及時更改承擔任何責任。

33.Upon written request of the Shipper prior to arrival of the carrying vessel at the Port of Discharge or Place of Delivery, whichever applicable, the Carrier will use its best efforts to change the Sea Waybill to the Carrier's Bill of Lading, provided that the Carrier shall in no case be liable for failure timely to effect such changes.

 

 

34. 對于特定貨(huo)物(wu)(wu)的(de)(de)放貨(huo),應(ying)當遵循(xun)承運(yun)(yun)人的(de)(de)運(yun)(yun)價(jia)本(ben)(ben)和提單(dan)中所規定的(de)(de)一般擔保(bao)的(de)(de)習慣(guan)作法,這種規定包括但不限于承運(yun)(yun)人有權因本(ben)(ben)海運(yun)(yun)單(dan)的(de)(de)任何一方拖欠的(de)(de)費(fei)用或(huo)債務(wu)而留置(zhi)貨(huo)物(wu)(wu),不論(lun)該費(fei)用或(huo)債務(wu)是否與本(ben)(ben)海運(yun)(yun)單(dan)項下的(de)(de)貨(huo)物(wu)(wu)有關。

34.  The goods are subject to the Carrier's normal credit practices with respect to release of particular Goods, as specified in the Carrier's Tariff and Bill of Lading, including but not limited to, the Carrier's right to a lien against any shipment as security for any unpaid charges due and owing to the carrier by any party to this Sea Waybill, whether related to the Goods described in this sea Waybill or not.

 

 

35. 除非發(fa)貨人(ren)(ren)在運(yun)輸前有相(xiang)反的(de)指示并在海(hai)運(yun)單的(de)正面(mian)注(zhu)明,承(cheng)運(yun)人(ren)(ren)將根據上述條款和條件與收貨人(ren)(ren)處理有關貨物的(de)索賠(pei)。任何(he)索賠(pei)的(de)解(jie)(jie)決(jue)應作為承(cheng)運(yun)人(ren)(ren)對發(fa)貨人(ren)(ren)責(ze)任的(de)徹底解(jie)(jie)除。

35.  Unless instructed to the contrary by the shipper prior to the commencement of carriage and noted accordingly on the face hereof, the Carrier will, subject to the aforesaid terms and conditions, process cargo claims with the Consignee. Claims settlement, if any, shall be a complete discharge of Carrier's liabilities to the Shipper.
