1.Appointment : 業務指定
The Agent shall be appointed as the ship repairer and agent in area___________________ .
代理商將被指定為在_________________區域的船舶修理商和代理。
2.Duties of the agent: 代理商的職責
The Agent shall: 代理商應該
(1)Request price enquiries for vessels and ship-repairing from ship-owners of Area and redirect them to Manufacturer;
尋求該地區船主對船舶維修價格的咨詢信息，并提供給生產商；
(2)Advise on general market conditions in the Area;
對該地區的總體市場狀況提出建議；
(3)Assist in the arrangement of business activities of sales personnel;
協助銷售人員的商業活動的安排；
(4)Regularly conduct market research on behalf of the manufacturer;
代表廠商定期進行市場調研；
(5)Assist the manufacturer (without involvement in legal proceedings unless otherwise agreed upon) in the collection of debts;
協助廠商進行收款（除非另有協議，否則不涉及到法律程序）；
(6)Report on his activities in the Area to Manufacturer in an agreed form.
以約定的格式向生產商匯報在此地區的活動。.
3.The Area: 代理地區
For purpose of clarification, Manufacturer shall sent to the Agent a list of owners in the Agent’s Area and the Agent shall review this list suggesting any additions or amendments which Manufacturer shall then consider;
為了清楚，生產商將向代理商發去在代理地區船主名單，并且代理應研究名單，建議是否有生產商應考慮的任何添加或修改的內容；
In the event of any dispute between Areas arising as to whether a particular vessel shall be considered for commission, Manufacturer shall be the sole arbitrator to give final judgement according to the situation.
假如對在地區之間出現了對某一特定船舶是否應被考慮收取傭金的問題產生分歧，生產商應是根據此情況給出最終裁決的唯一仲裁者。
4.Commissions: 傭金
Manufacturer shall pay 15 % of the total vessel’s repair fee to the Agent in the region commissions. Commissions for bulk contracts shall be decided upon separately; Payment terms: 5% of the commission shall be paid first while the remaining part shall be paid after the receipt of the vessel’s repair fee.
生產商將把代理在此地區的傭金的總船舶修理費的15 %付給代理。主合同的傭金將另外決定；付款方式：首先支付5%的傭金，其余部分將在收到船舶修理費后支付。
Whenever commissions are needed to cover owner’s brokers and third Party, etc., the agent shall advise Manufacturer in advance and the commission will be paid at Manufacturer ’s discretion.
無論傭金是否應該付給船主的中間商和第三方，代理應事先通知生產商，并且傭金應由生產商決定是否支付。
5.Expenses: 費用
(1)Visit to Manufacturer at a time to be fixed by Manufacturer ;
每次對生產商的訪問由生產商支付；
(2)Exceptional costs of communications (long telexes, specifications, etc.);
額外的通訊費用（長途電傳， 規格，等等。）；
(3)Costs incurred during Manufacturer ’s sales visits to the area.
在生產商對此地區的銷售訪問所產生的費用。
6.Duties of MANUFACTURER: 生產商的職責
Manufacturer shall: 生產商應該：
(1)Supply the Agent with samples and other promotion material;
給代理提供樣品和其它促銷材料；
(2)Supply the Agent with lists of vessels of important customers of the improvement sales;
給代理提供重要客戶的船舶名單以促進銷售；
(3)Inform the Agent of any direct approaches to owners concerning vessels within the area;
通知代理直接接洽在此地區船主；
(4)Send to the Agent copies of all principal documents exchanged with owners on condition that all information shall be kept confidential.
向代理發送所有和船主交換的主要文件，應對所有保密信息予以保密。
7.Limits of authority: 權利限制
The Agent shall have no right to intervene with Manufacturer either in terms of price, time specification or other conditions of contract;
代理沒有任何權利來干涉生產商的事宜，無論是在價格條款，時間規定或其它合同條件；
The acceptance of business shall be at the sole discretion of Manufacturer.
業務的接受只能由生產商決定。
8.Conflict of Interest: 利益沖突的避免
The Agent hereby declares that the agent shall not represent any other ship repairing yard that is or that could reasonably be constructed as being in conflict with Manufacturer ’s interest during the period of this Agreement. The Agent therefore agrees to consult with MANUFACTURER before entering into any agency contract. The Agent undertakes that he shall not, without the consent of Manufacturer , disclose to any third Party information that could be prejudicial to Manufacturer ’s commercial dealings.
代理特此聲明在此協議期間不代表任何其它的已經或可能和生產商的利益相沖突的船舶修理廠。代理因此同意在簽署任何代理協議之前，應和生產商協商。代理承諾，在沒有生產商的同意下，不向任何第三方泄露可能有損于生產商的商業交易的信息。
9.Termination: 協議終止
Either Party can terminate this Agreement by a three month notice in writing; commission shall be payable on all ships steamed during the period of the Agency Agreement whether they arrive in the shipyard or not during that period.
任何一方可以在提前三個月用書面的形式終止此協議；應在代理協議期間支付所有的已航行前往維修的船舶的傭金，無論它們在此期間是否已經到達了船塢。
10.Confidentiality of the Company’s Affairs: 對公司業務的保密
The Agent shall, during and after the period of the Agreement, undertake that he shall not divulge to any other Party an information concerning Manufacturer of a confidential nature without the prior consent of Manufacturer.
在此協議期間和之后，在沒有生產商事先同意前，代理不應把任何有關生產商的帶有保密性質的信息泄露給他方。
11.Arbitration: 仲裁
In the event of any dispute concerning the interpretation of this Agreement between the two Parties other than that referred to in Clause 3, the dispute shall be referred to a single arbitrator agreed upon by both Parties. Should they fail to reach an Agreement, the arbitrator shall be provisionally designated by the President of the Maritime Arbitration Committee.
除了第3條內所述之外，如果雙方對此協議的任何解釋有異議的話，爭議應交給雙方同意的獨任仲裁員。如果雙方不能達成協議，仲裁員將由“海事仲裁委員會”的主席指定。
