Language: All correspondence, meeting minutes, plans and project descriptions shall be bilingual in Chinese and English. In case of discrepancies the Chinese will prevail.

1. SCOPE OF WORK 工作范圍
本項目將(jiang)根(gen)據以(yi)下階(jie)段進(jin)行深化：
1.1. CONCEPTUAL DESIGN PHASE
設計顧問將(jiang)與(yu)業主咨詢(xun)以(yi)編制設計任務書，及概念性地歸納出可能的(de)辦(ban)公空間的(de)解決方案，并分析現有條件。
Design Consultant will develop a Conceptual Design based upon the program. This will include written and graphic presentation. The graphic presentation will include plans and elevations, as well as 3-dimensional conceptual images of the design and other necessary means of communicating the design.
設計顧問將以此任務書為基礎進行概念設計，包括文字和圖紙方式的設計匯報成果。匯報圖紙將包括空間的平、立面圖、3d 設計概念圖、以及其他必要的設計交流的方式。
The Initial Submission shall be Digital in PDF Format, and printed as 10 Colorful Brochures in A3 Format.

Within a 4 week period after the initial submission, the Design Consultant will revise the conceptual design according to Clients requirements and will prepare the following documents including A0 Panels for Government Presentation.

1.2. SCHEMATIC DESIGN PHASE

1.3 DESIGN DEVELOPMENT PHASE

1.4 CONTRACT DOCUMENT PHASE

1.5 CONSTRUCTION PHASE------- ADMINISTRATION OF THE CONSTRUCTION CONTRACT
1.5.施工階段-施工合同的管理
The client will hire an ｅｘｅｃutive architect or general contractor for this phase. Design Consultant reserves the right to keep the artistic supervision on the project and to consult the ｅｘｅｃutive architect or general contractor in this phase. Design Consultant will consult on any adjustments to the documents should there be any discrepancies between the existing conditions that arise after construction commences and the construction documents. The amount of site visits is limited to fifteen times as of this agreement. Any additional requested site visit shall be considered Additional Services and be compensated as such.

2. ADDITIONAL SERVICES
未在(zai)(zai)上文里說明的服(fu)務均應(ying)視為額(e)外(wai)服(fu)務。額(e)外(wai)服(fu)務應(ying)在(zai)(zai)業(ye)主(zhu)書面(mian)授權或確認的情況下才能提供。額(e)外(wai)服(fu)務項目應(ying)包括(kuo)、但(dan)不(bu)限于：
2.1 Making revisions in drawings, specifications or other documents when such revisions to the design documents are inconsistent with approvals or instructions previously given by Client, including those made necessary by adjustments in Client’s program or budget.
2.1 與業(ye)主(zhu)先前的(de)(de)(de)確認或(huo)指示不一致的(de)(de)(de)設計文件的(de)(de)(de)修(xiu)改(gai)（圖紙、說(shuo)明(ming)和其它文件的(de)(de)(de)修(xiu)改(gai)），包括因業(ye)主(zhu)調整設計任務(wu)書或(huo)預(yu)算而(er)進(jin)行(xing)的(de)(de)(de)必(bi)要修(xiu)改(gai)。
2.2 Making revisions required by enactment or revision of codes, laws or regulations subsequent to the preparation of Design Consultant ‘s documents.

2.3 Making changes required as a result of Client’s failure to render decisions in a timely manner.

2.4 Providing services required because of significant changes in the Project, including size, schedule, materials, method of bidding or construction contracting or construction management.
2.4 因工(gong)(gong)程(cheng)的重(zhong)大(da)變(bian)化（包括工(gong)(gong)程(cheng)規模、進度、材料、招標方法、或施工(gong)(gong)承包或施工(gong)(gong)管(guan)理等）的要求而(er)提供的相應服務。
2.5 Preparing documents evaluating Contractor’s proposals, and providing other services in connection with Change Orders or Construction Proposals.
2.5 編制評估承包商投(tou)標(biao)書(shu)的文件(jian)，并提供其它與工(gong)程變更通(tong)知或施工(gong)投(tou)標(biao)書(shu)相關的服(fu)務。
2.6 Providing services in connection with Contractor’s request for substitutions.

3. OWNER’S RESPONSIBILITIES.
3.1 業主將及(ji)時向設(she)計專(zhuan)業人員提供設(she)計顧問在本(ben)協議(yi)下(xia)開(kai)展工作所(suo)必(bi)需(xu)的所(suo)有相關資料(liao)。
3.2 Client shall designate a representative authorized to act on the Client’s behalf with respect to the Project. The Client or such designated representative shall render decisions in a timely manner in order to avoid unreasonable delay in the orderly and sequential progress of the Design Consultant‘s services.
3.2 業主(zhu)將委派一(yi)名代表業主(zhu)的項目授(shou)權(quan)(quan)代表。業主(zhu)或該授(shou)權(quan)(quan)代表應及時做出決定，以避免不合理地延誤設(she)計顧問有序而連續的服務。
3.3 Client shall provide to Design Consultant all documents establishing the legal parameters of the project, together with the most current depicting all improvements on the site. This information shall be at Client’s expense and Design Consultant shall be entitled to rely upon the accuracy of such information without taking any actions to verify it.
3.3 業主將向設計顧問提供設定(ding)(ding)本項(xiang)目法定(ding)(ding)參(can)數(shu)的(de)(de)所有文件(jian)、以及最新的(de)(de)反映施工(gong)現場所有進展的(de)(de)文件(jian)。此類(lei)資(zi)料的(de)(de)費(fei)用應由業主承擔，設計顧問應有權依(yi)賴此類(lei)資(zi)料的(de)(de)準確性，而無(wu)需再行核實。
3.4 Client (hereafter “Indemnitor”) agrees to fully defend, fully indemnify, and fully hold harmless Design Consultant, and Design Consultant ‘s owners, shareholders, partners, directors, officers, employees, agents, and representatives (hereafter “Indemnitees”) from and against the full amount of any and all claims of any kind whatsoever, including but without limitation attorney’s fees and costs, arising out of the project, brought by or through any third party, to the fullest extent permitted by law, with the exception that Client shall not have such indemnification obligations to Indemnities for such Indemnitees’ negligence or willful misconduct..
3.4 對于因工程的原因、由或通過任何第三者而產生的、任何類型的任何和所有索賠的全額，業主（以下稱為“賠償人”）同意，在法律允許的最大范圍內提供為設計顧問、以及設計顧問的所有者、股東、董事、高級職員、雇員、代理人以及代表（以下稱“接受賠償人”）提供全面辯護、全面賠償以及全面保護使其不受損害，范圍包括但不限于律師費用和訴訟費；但是，業主對于接受賠償人的疏忽或故意的過失不承擔任何賠償義務。
3.5 The client agrees to limit Design Consultant ´s liability to the Client, Client’s officers, directors, parties, employees and agents arising from Design Consultant ´s professional acts, errors or omissions to ××× as equivalent of the Fixed Fee for Basic Services.
3.5 業主同意，設計顧問因其專業行為、錯誤或遺漏、而應對業主、業主的高級職員、董事、當事人、雇員以及代理人等承擔的責任限額為×××美元，即基本服務的定額費率。
4. CONSTRUCTION COST
4.1 施工預算將由總(zong)建筑師(shi)(shi)或(huo)(huo)總(zong)承(cheng)包(bao)人進(jin)行管理。設計顧(gu)問將就(jiu)成(cheng)(cheng)本估算的編制(zhi)與(yu)總(zong)建筑師(shi)(shi)或(huo)(huo)總(zong)承(cheng)包(bao)人進(jin)行商討(tao)。支付給總(zong)建筑師(shi)(shi)或(huo)(huo)總(zong)承(cheng)包(bao)人進(jin)行成(cheng)(cheng)本估算的費(fei)用不屬于本協議(yi)范圍(wei)。
4.2 It is recognized that neither Design Consultant nor the Owner has control over the cost of labor, materials or equipment, over the Contractor＇s methods of determining bid prices, or over competitive bidding, market or negotiating conditions. Accordingly, Design Consultant cannot and does not warrant or represent that bids or negotiated prices will vary from any estimate of Construction Cost or evaluation prepared or agreed to by the Design Consultant.
4.2 鑒于(yu)各方(fang)共識，即：設計(ji)顧(gu)問或(huo)業主均無(wu)法(fa)控制(zhi)勞動力(li)、材料和(he)設備的(de)(de)價(jia)(jia)(jia)格(ge)、無(wu)法(fa)控制(zhi)總承包人決定投標(biao)價(jia)(jia)(jia)格(ge)的(de)(de)方(fang)法(fa)、也無(wu)法(fa)控制(zhi)競標(biao)、市(shi)場或(huo)談(tan)判(pan)(pan)的(de)(de)條件，則相應，設計(ji)顧(gu)問既不(bu)能(neng)、也不(bu)會擔(dan)保或(huo)說明投標(biao)價(jia)(jia)(jia)格(ge)或(huo)談(tan)判(pan)(pan)價(jia)(jia)(jia)格(ge)、與設計(ji)顧(gu)問編制(zhi)或(huo)認同(tong)的(de)(de)任何建設成本估(gu)算或(huo)估(gu)價(jia)(jia)(jia)之間的(de)(de)差距。
5. PAYMENTS TO Design Con
Client shall compensate Design Consultant as follows.
業主應對設(she)計顧問支(zhi)付(fu)如下報(bao)酬。
Payments should be made to Design Consultant. The fee shall be paid in US $ according to the current exchange rate at the day of payment.
應(ying)支付給設計顧問的(de)款項。費用應(ying)按(an)照付款當(dang)天的(de)匯(hui)率以美元(yuan)支付。
Design Consultant will invoice Client according to the design progress of each design subject, respectively each single Building Part. Payment shall be received by Design Consultant within 14 days after submission of the invoice. Design Consultant reserves the right to refuse to commence work before the previous phase is paid in full.
設計顧問將根據每一設計主題、每個單體建筑部分的設計進度向業主開具發票。設計顧問應在提交發票后的14 日內收到付款。在前一設計階段的進度款項全額支付之前，設計顧問將有權拒絕開展設計工作。

5.3 TAXES AND DUTIES
美國境內的所(suo)有稅費和關稅均由設計顧問負責。
All taxes and duties applicable in the P.R. China, are within the sole responsibility of the Client.
中國境內的(de)所有(you)稅(shui)費和關稅(shui)均(jun)由業主(zhu)負責。
All Design work of Design Consultant will be performed in the USA, in the Los Angeles Office of Design Consultant.
設(she)計(ji)顧問的所有設(she)計(ji)工作(zuo)都在(zai)美國境內、設(she)計(ji)顧問的洛(luo)杉磯事務所完成。
5. 4 REIMBURSABLES 報銷費用
5.4.1.差(cha)旅(lv)費用(yong)：業主(zhu)將報(bao)銷(xiao)設計顧問(wen)五星(xing)級(ji)酒店的住宿費用(yong)、以(yi)及國內航班(ban)的經濟(ji)艙機票（不包括(kuo)國際航班(ban)）。
5.4.2 Reimbursables. Client will reimburse extraordinary expenses of Design Consultant such as, but not limited to, large scale reproductions, samples, or presentation models and presentation renderings which are not included in the fee for basic services, and will be billed at cost + 20% service surcharge. Design Consultant will not cause such expenses without written approval by the Client.
5.4.2 報銷費用：業主應報銷設計顧問的特別費用，例如但不限于：基本服務的費率中未計入的大量復制文件、樣品或設計匯報模型的費用，費用報銷金額為：成本+20%的附加服務費。設計顧問在沒有得到業主書面認可時將不會產生此類花費。
5.4.3 Fees for required approvals and possible consultant fees (i.e. Structural Engineer, Mechanical Engineer, Lighting Consultant, Landscape Designer, etc.) are not included in this contract. Design Consultant will only hire consultants with the client’s written approval and payment by client as reimbursables.
5.4.3 所需批文(wen)的費用以及可能發生的咨詢費（如(ru)：結構工程(cheng)師(shi)(shi)，機(ji)械工程(cheng)師(shi)(shi)等）未(wei)計入本合同(tong)。設(she)計顧問將只(zhi)能在業主書面同(tong)意(yi)、并(bing)報銷(xiao)所需費用的條件下聘請咨詢方(fang)。
5.4.4 No deductions, offsets, or withholdings shall be made from Design Consultant’s compensation on account of penalty, liquidated damages, or other sums withheld from payments to contractors, or an account of the cost of changes in the Project, or for other claims that Client may assert other than those for which Design Consultant has been adjudged to be liable.
5.4.4 業(ye)(ye)主(zhu)不(bu)得以罰金、清算(suan)損失為(wei)理(li)由(you)(you)、或(huo)以其(qi)它應從(cong)支(zhi)付給承(cheng)包(bao)人的款項中扣(kou)(kou)除(chu)的金額為(wei)理(li)由(you)(you)、或(huo)以項目(mu)成本變化為(wei)理(li)由(you)(you)、或(huo)以業(ye)(ye)主(zhu)提出的其(qi)他索(suo)賠（設(she)(she)計(ji)顧問已經被判決(jue)應負責(ze)的索(suo)賠除(chu)外(wai)）為(wei)理(li)由(you)(you)，而(er)減除(chu)、抵扣(kou)(kou)或(huo)扣(kou)(kou)繳設(she)(she)計(ji)顧問的報酬。
6. PROJECT SCHEDULE 項目進(jin)度安排

6.3 The Schedule for the Schematic + Design Development phase will be determined in an amendment to this agreement after the conceptual phase is completed.
6.3 方案(an)設計(ji)和初(chu)步設計(ji)階段(duan)的設計(ji)進度安排將在概念設計(ji)階段(duan)完(wan)成之(zhi)后、以本(ben)協(xie)議書修改的形(xing)式再行確定。
7. DISPUTE RESOLUTION. 爭(zheng)議的解決
與本協議書(shu)相關的任(ren)何(he)索賠、爭議或(huo)其(qi)它有疑問的事項(xiang)，均(jun)應(ying)(ying)在任(ren)何(he)一方提請仲裁(cai)、或(huo)采用法律(lv)或(huo)公正(zheng)的訴訟程序之前進行調解(jie)；但不受此限的是(shi)：設(she)計顧(gu)問可在通過調解(jie)解(jie)決此類事項(xiang)之前、采取此類必要的行動(dong)，以便保留其(qi)留置權(quan)。各方應(ying)(ying)平攤調解(jie)費以及任(ren)何(he)備案或(huo)行政(zheng)費用。
If no consent can be reached by mediation, both parties have the right to plead in front of the “China International Economic and Trade Arbitration Commission (CIETAC)”in Shanghai. The arbitrage of the CIETAC shall be final and authorative for all parties.
如經調解無法達成一致意見， 雙方有權向上海的中國國際經濟貿易仲裁委員會(CIETAC)提請仲裁。 該委員會的仲裁裁決為最終裁決，并對各方均有約束力。
8. CLAIMS FOR CONSEQUENTIAL DAMAGES. 對于間接損(sun)害的索賠
業(ye)主與設計顧問自動(dong)放棄對因(yin)本項(xiang)目而(er)引起的(de)(de)間(jian)接和經濟損害的(de)(de)索賠(pei)權。這一相互的(de)(de)棄權也(ye)適用于因(yin)任何一方根據本協(xie)議條(tiao)款終止本協(xie)議而(er)引致的(de)(de)索賠(pei)。
9. OWNERSHIP. 所(suo)有權
對于所有(you)圖(tu)像(xiang)和(he)(he)圖(tu)紙(zhi)、及(ji)圖(tu)像(xiang)和(he)(he)圖(tu)紙(zhi)的所有(you)增(zeng)減(jian)、改動或(huo)(huo)修改、以及(ji)所有(you)相關(guan)或(huo)(huo)所包含的草(cao)稿、文件(jian)、說明(ming)、概念(nian)、想法(fa)意(yi)見以及(ji)方(fang)法(fa)步驟(zou)等、或(huo)(huo)者(zhe)由設(she)計(ji)(ji)(ji)顧(gu)(gu)問(wen)(wen)(wen)提供或(huo)(huo)編制的其(qi)它資(zi)料(liao)等的每一組成因素和(he)(he)部(bu)分，其(qi)權(quan)(quan)利、所有(you)權(quan)(quan)和(he)(he)利益(yi)均屬于業主。設(she)計(ji)(ji)(ji)顧(gu)(gu)問(wen)(wen)(wen)將(jiang)被認為是上述(shu)所有(you)作(zuo)(zuo)品(pin)的作(zuo)(zuo)者(zhe)，將(jiang)擁有(you)上述(shu)作(zuo)(zuo)品(pin)的署名權(quan)(quan)。未經業主同意(yi)，設(she)計(ji)(ji)(ji)顧(gu)(gu)問(wen)(wen)(wen)不(bu)得(de)將(jiang)該設(she)計(ji)(ji)(ji)用(yong)于其(qi)它項目或(huo)(huo)提供給其(qi)他方(fang)。設(she)計(ji)(ji)(ji)顧(gu)(gu)問(wen)(wen)(wen)的所有(you)設(she)計(ji)(ji)(ji)文件(jian)僅用(yong)于本項目，業主不(bu)得(de)將(jiang)其(qi)用(yong)于其(qi)它目的。設(she)計(ji)(ji)(ji)顧(gu)(gu)問(wen)(wen)(wen)應有(you)權(quan)(quan)將(jiang)本項目設(she)計(ji)(ji)(ji)的照片或(huo)(huo)藝術表現圖(tu)收入(ru)其(qi)公司宣傳和(he)(he)專(zhuan)業資(zi)料(liao)。
10. TERMINATION. 協議終止
當協議任何一方未能實質性地履行協議條款時，無過錯的一方可通過 14 天提前書面通知而終止協議；當業主中止或終止本項目、或設計顧問的部分或全部服務時，一經任何協議一方的14 天提前書面通知，本協議即可終止。如果此合同在設計顧問執行協議內容無實質性過錯的情況下被終止時，業主應支付設計顧問所有直到協議終止或中止時的未付發票金額、所有已完成的工作、以及已提供的服務加上應報銷的費用；而且，業主必須支付因協議取消而產生的任何存貨恢復費用、以及協議終止附加費，該附加費相當于基本服務中未實施工作部分的規定報酬的10%。
11. MISCELLANEOUS PROVISIONS. 其它(ta)規(gui)定
11.1 本(ben)協議受(shou)中華人民共和國的法律(lv)管轄。
11.2 The Client and Design Consultant each bind themselves, their partners, successors, assigns and legal representatives to the other party to this Agreement and to the partners, successors, assigns and legal representatives of such other party with respect to all covenants of this Agreement. Neither the Client nor the Design Professional shall assign this Agreement without the written consent of her other.
11.2 業主與設計顧(gu)問各(ge)方(fang)，其本身、其合作伙伴(ban)、繼承(cheng)(cheng)者、受讓人(ren)和法人(ren)代表(biao)，對本協議的(de)另一方(fang)、以及本協議所有協議方(fang)其它相關各(ge)方(fang)的(de)合作伙伴(ban)、繼承(cheng)(cheng)人(ren)、受讓人(ren)和法人(ren)代表(biao)承(cheng)(cheng)擔本協議的(de)義(yi)務(wu)。業主與設計顧(gu)問在無對方(fang)書面同意的(de)情況下不應進(jin)行本協議的(de)轉讓。
11.3 This Agreement represents the entire and integrated agreement between the Client and the Design Consultant and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both Client and Design Consultant.
11.3 本(ben)協議為業(ye)主與設計(ji)顧(gu)問之間全部和完整的(de)(de)協議，并取(qu)代所有之前的(de)(de)書面或口頭的(de)(de)談(tan)判、陳述或協議。本(ben)協議的(de)(de)修改(gai)只能(neng)通(tong)過業(ye)主與設計(ji)顧(gu)問雙方簽署的(de)(de)書面同意(yi)文件進(jin)行。
11.4 Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the Client or the Design Consultant.
11.4 本協議中的(de)(de)任何內(nei)容將不構成(cheng)與任何第(di)三者的(de)(de)合同關(guan)系、或成(cheng)為不利(li)(li)于(yu)業主(zhu)或設計顧問而有利(li)(li)于(yu)任何第(di)三方的(de)(de)行動(dong)的(de)(de)理由。
11.5 Any claims, arbitration demands, or lawsuits arising out of services provided by Design Consultant shall be brought only against Design Consultant, and not against any of Design Consultant‘s owners, shareholders, directors, officers, partners, employees, agents or representatives.
11.5 因設(she)計(ji)顧問所提供的服(fu)務而(er)引起的任何索賠、仲裁要求，或訴(su)訟等，應只針對設(she)計(ji)顧問，而(er)不針對設(she)計(ji)顧問的所有者、股東、董事(shi)、高級職員(yuan)、合(he)伙人、雇(gu)員(yuan)、代理人或代表。
11.6 To the extent that damages are covered by property insurance during construction, Client and Design Consultant waive all rights against the other and their owners, shareholders, partners, directors, officers, employees, agents, and representatives.
11.6 對(dui)于施工(gong)過(guo)程(cheng)中出現的財產保險(xian)保障范圍內的損(sun)失，業(ye)主和設計顧問放棄追究(jiu)對(dui)方及其所(suo)有者、股東、合伙人、董事、高級(ji)職(zhi)員、雇員、代理人或(huo)代表的全(quan)部責任。
12. APPROVAL. 協(xie)議(yi)的批準
業主的下列簽名即是授權設(she)計(ji)顧問(wen)代表業主開展本項目(mu)工作(zuo)。
