一、代理項目：注冊外資國際貨運代理公司

二、 甲方責任：甲方需提供真實有效的注冊所需材料。甲方負責的事宜包括：銀行開戶手續及費用(人民幣及外幣)，需股東到銀行開戶,發票專管員的培訓，印花稅，申請發票及相關許可證由甲方負責和支出費用。
Party A’s liability: Party A shall provide valid and true materials for application purpose. Party A shall also be responsible for: paying bank account opening fee (RMB and foreign currency); attending training for invoice administrator; paying for stamp tax and expense arising from buying invoice and any other license/permit.
三、 乙方責任：乙方負責的事宜包括：企業名稱核準通知書、外商投資批準證書、營業執照、稅務登記證、組織機構代碼證、一套公司章、國際貨代備案證、外匯備案證等。乙方有責任在查名后（并材料齊全的情況下） 個工作日辦理完所有的注冊手續。（除特殊原因需要延長時間外，但必須與甲方協商.在代理注冊過程中因特殊原因導致的代理注冊服務時間延后或項目終止審批，乙方不承擔相應的法律和經濟責任。）如乙方未能辦理完成相關手續，則乙方必須退還預付款(扣除國家或有關部門收取的費用，并出具相應的憑證)。
Party B’s liability: Party B shall be responsible for: Notification for the Approval of Company Name, Certificate for the Approval of Foreign Investment, Business License, Tax Registration Certificate, Certificate of Organization Code, a full set of company stamps, Registration Certificate for International Freight Agency, Registration Certificate for Foreign Exchange. Party B has the liability to finish all registration work within working days after the new company’s name is confirmed to be available (all application materials are duly provided). (Except for special reasons no time extension will be approved. Party B will negotiate, in case of an exception, with Party A, in the registration process for special causes of agency services or termination of the project approval time delay; Party B shall not bear the corresponding legal and economic responsibility). If Party B fails in finishing registration application, Party B shall refund the prepaid amount by Party A (deducting any expense or fee already charged by government organs, and issue to Party A a receipt.)

五、說明(Remark)：
1、 第1，2項由代理放起草，投資方最終確定。
Item 1,5,8,11,12 will be drafted by agent, and finally confirmed by investors.
2、 第3，4，6項在申請“企業名稱核準”時也將使用。
Applying company name will use item 2,3,14.
外商投資國際貨運代理公司注冊資本最低為500萬人民幣(或相當的美金)，注冊時可以是零注冊，3個月內實到注冊資本20%，2年內實到注冊資本全部。（可申請延續）
The registration capital of new International Freight Forwarder Company is 1 million＄, it can be zero registration, the registration capital could be 20% within 3 months, the whole payment will be complete within two year.(The payment could be postponed.)
3、 “公司投資”與“中外合資”中的第4項備注：
Remark of ‘company investment’ and ‘Sino-foreign joint’:
香港公司由中國法律服務（香港）有限公司委托“中國委托公證人（律師樓律師）”公證。
Hong Kong Company is notarized by China Law Service (Hong Kong) Co.,ltd. which entrusted by China Commission Notary(the lawyer).
臺灣公司由臺灣法院公證處公證，再由海基會證明。
Taiwan Company is notarized by Taiwan Court and then certificated by the Straits Exchange Foundation.
其它國家的公司由當地法院公證，再由中國駐當地的領事館鑒定。
Company in other countries is notarized by local court and then appraised by Chinese local consulate.
六、需要信息(The information needed):
以上人員身份證明復印件（要本人簽字）、簡歷；
The person mentioned above need the copy articles of identification (which need signatures of their own) and CV.
其中：法定代表人、財務照片2張、住宅電話、工作電話、手機。
Remark: The legal person of investors and the person of Financial Affairs need two photos, phone numbers of address, office and mobile.
